Usando da faculdade conferida pela 2.ª parte do n.º 2.º do artigo 109.º da Constituição, o Governo decreta e eu promulgo, para valer como lei, o seguinte:

Artigo único. É aprovada para ratificação a Convenção entre Portugal e a Noruega para Evitar a Dupla Tributação em Matéria de Impostos sobre o Rendimento e sobre o Capital, assinada em Lisboa em 24 de Junho de 1970, cujos textos em português e inglês vão anexos ao presente decreto-lei.

Convenção entre Portugal e a Noruega para Evitar a Dupla Tributação em Matéria de Impostos sobre o Rendimento e sobre o Capital.

Portugal e a Noruega, desejando concluir uma Convenção para Evitar a Dupla Tributação em Matéria de Impostos sobre o Rendimento e sobre o Capital, acordaram nos artigos seguintes:

CAPÍTULO I
Âmbito da aplicação da Convenção
ARTIGO 1.º
Pessoas visadas
Esta Convenção aplica-se às pessoas residentes de um ou de ambos os Estados Contratantes.

ARTIGO 2.º
Impostos visados
1. Esta Convenção aplica-se aos impostos sobre o rendimento e sobre o capital exigidos por cada um dos Estados Contratantes e suas autarquias locais, seja qual for o sistema usado para a sua percepção.

2. São considerados impostos sobre o rendimento e sobre o capital os impostos incidentes sobre o rendimento total, sobre a totalidade do capital ou sobre parcelas do rendimento ou do capital, incluídos os impostos sobre os ganhos derivados da alienação de bens mobiliários ou imobiliários, bem como os impostos sobre as mais-valias.

3. Os impostos actuais a que esta Convenção se aplica são, nomeadamente:
a) Relativamente a Portugal:
1.º A contribuição predial;
2.º O imposto sobre a indústria agrícola;
3.º A contribuição industrial;
4.º O imposto de capitais;
5.º O imposto profissional;
6.º O imposto complementar;
7.º O imposto para a defesa e valorização do ultramar;
8.º O imposto de mais-valias;
9.º Os adicionais dos impostos referidos nos n.os 1.º a 8.º desta alínea;
10.º Os outros impostos estabelecidos para as autarquias locais, cujo quantitativo seja determinado em função dos impostos referidos nos n.os 1.º a 8.º desta alínea, e os respectivos adicionais;

a seguir referidos pela designação de "imposto português».
b) Relativamente à Noruega:
1.º O imposto estadual sobre o rendimento (inntcktsskatt til staten);
2.º O imposto estadual de perequação dos impostos (skatteutjcvningsavgift til staten);

3.º O imposto estadual para auxílio aos países em vias de desenvolvimento (saerskatt til staten for utviklingshjelp);

4.º Os impostos estaduais sobre as remunerações dos artistas estrangeiros (avgift til staten av honorarer som tilfaller kunstnere bosatt i utlandet);

5.º O imposto estadual sobre o capital (formuesskatt til staten);
6.º O imposto municipal sobre o rendimento (kommunal inntcktsskatt);
7.º O imposto municipal sobre o capital (kommunal formuesskatt);
8.º O imposto municipal predial (kommunal eiendomsakatt)
9.º O imposto dos marinheiros (ver documento original);
10.º O imposto sobre as remunerações dos menores dependentes (skatt av (ver documento original) barns inntekter);

a seguir referidos pela designação de "imposto norueguês».
4. A Convenção será também aplicável aos impostos futuros de natureza idêntica ou similar que venham a acrescer aos actuais ou a substituí-los. As autoridades competentes dos Estados Contratantes comunicarão uma à outra, no princípio de cada ano, as modificações introduzidas nas respectivas legislação fiscais no ano anterior.

CAPÍTULO II
Definições
ARTIGO 3.º
Definições gerais
1. Nesta Convenção, a não ser que o contexto exija interpretação diferente:
a) As expressões "um Estado Contratante» e "o outro Estado Contratante» significam Portugal ou Noruega, consoante resulte do contexto;

b) O termo "Portugal» significa Portugal europeu, que compreende o território do continente e os arquipélagos dos Açores e da Madeira e inclui a área fora do mar territorial de Portugal que, em conformidade com o direito internacional, é ou venha a ser considerada, pelas leis de Portugal sobre a plataforma continental, uma área na qual Portugal pode exercer os seus direitos relativos ao leito e subsolo do mar e respectivos recursos naturais;

c) O termo "Noruega» significa o Reino da Noruega e inclui a área adjacente às águas territoriais da Noruega que, pela legislação norueguesa e em conformidade com o direito internacional, é ou venha a ser considerada uma área na qual a Noruega pode exercer os seus diretos relativos ao leito e subsolo do mar e respectivos recursos naturais; o termo não compreende Svalbard (Spitsbergen, incluindo Bear Island), Jan Mayen e as dependências norueguesas fora da Europa;

d) O termo "pessoa» compreende uma pessoa singular, uma sociedade ou qualquer outro agrupamento de pessoas;

e) O termo "sociedade» significa qualquer pessoa colectiva ou qualquer entidade que é tratada como pessoa colectiva para fins tributários;

f) As expressões "empresa de um Estado Contratante» e "empresa do outro Estado Contratante» significam, respectivamente, uma empresa explorada por um residente de um Estado Contratante e uma empresa explorada por um residente do outro Estado Contratante;

g) A expressão "autoridades competentes» significa:
1.º Relativamente a Portugal: o Ministro das Finanças, o director-geral das Contribuições e Impostos ou os seus representantes autorizados;

2.º Relativamente à Noruega: o Ministro das Finanças e Alfândegas (Minister of Finance and Customs) ou o seu representante autorizado;

h) A expressão "tráfego internacional» inclui qualquer viagem de um navio ou aeronave explorados por uma empresa de um Estado Contratante que não seja uma viagem limitada ùnicamente ao outro Estado Contratante.

2. Para a aplicação da Convenção por um Estado Contratante, qualquer expressão não definida de outro modo terá, a não ser que o contexto exija interpretação diferente, o significado que lhe é atribuído pela legislação desse Estado Contratante relativa aos impostos que são objecto da Convenção.

ARTIGO 4.º
Domicílio fiscal
1. Para efeitos desta Convenção, a expressão "residente de um Estado Contratante» significa qualquer pessoa que, por virtude da legislação desse Estado, está aí sujeita a imposto devido ao seu domicílio, à sua residência, ao local de direcção ou a qualquer outro critério de natureza similar.

2. Quando, por virtude do disposto no n.º 1, uma pessoa singular for residente de ambos os Estados Contratantes, a situação será resolvida de acordo com as seguintes regras:

a) Será considerada residente do Estado Contratante em que tenha uma habitação permanente à sua disposição. Se tiver uma habitação permanente à sua disposição em ambos os Estados Contratantes, será considerada residente do Estado Contratante com o qual sejam mais estreitas as suas relações pessoais e económicas (centro de interesses vitais);

b) Se o Estado Contratante em que tem o centro de interesses vitais não puder ser determinado, ou se não tiver uma habitação permanente à sua disposição em nenhum dos Estados Contratantes, será considerada residente do Estado Contratante em que permanece habitualmente;

c) Se permanecer habitualmente em ambos os Estados Contratantes ou se não permanecer habitualmente em nenhum deles, será considerada residente do Estado Contratante de que for nacional;

d) Se for nacional de ambos os Estados Contratantes ou se não for nacional de nenhum deles, as autoridades competentes dos Estados Contratantes esforçar-se-ão por resolver o caso de comum acordo.

3. Quando, por virtude do disposto no n.º 1, uma pessoa, que não seja uma pessoa singular, for residente de ambos os Estados Contratantes, será considerada residente do Estado Contratante em que estiver situada a sua direcção efectiva.

ARTIGO 5.º
Estabelecimento estável
1. Para efeitos desta Convenção, a expressão "estabelecimento estável» significa uma instalação fixa onde a empresa exerça toda ou parte da sua actividade.

2. A expressão "estabelecimento estável» compreende, nomeadamente:
a) Um local de direcção;
b) Uma sucursal;
c) Um escritório;
d) Uma fábrica;
e) Uma oficina;
f) Uma mina, uma pedreira ou outro local de extracção de recursos naturais;
g) Um local ou um estaleiro de construção ou de montagem cuja duração exceda doze meses.

3. A expressão "estabelecimento estável» não compreende:
a) As instalações utilizadas ùnicamente para armazenar, expor ou entregar mercadorias pertencentes à empresa;

b) Um depósito de mercadorias pertencentes à empresa mantido ùnicamente para as armazenar, expor ou entregar;

c) Um depósito de mercadorias pertencentes à empresa mantido ùnicamente para serem transformadas por outra empresa;

d) Uma instalação fixa mantida ùnicamente para comprar mercadorias ou reunir informações para a empresa;

e) Uma instalação fixa mantida ùnicamente para fazer publicidade, fornecer informações, realizar investigações científicas ou desenvolver outras actividades similares que tenham carácter preparatório ou auxiliar, sempre que estas actividades sejam exercidas para a própria empresa.

4. Uma pessoa que actue num Estado Contratante por conta de uma empresa do outro Estado Contratante, desde que não seja um agente independente a que é aplicável o n.º 5, será considerada como estabelecimento estável da empresa no Estado primeiramente mencionado, se tiver e exercer habitualmente neste Estado poderes para concluir contratos em nome da empresa, a não ser que a actividade dessa pessoa se limite à compra de mercadorias para a empresa.

5. Não se considera que uma empresa de um Estado Contratante tem um estabelecimento estável no outro Estado Contratante pelo simples facto de exercer a sua actividade nesse outro Estado por intermédio de um corretor, de um comissário-geral ou de qualquer outro agente independente, desde que essas pessoas actuem no âmbito normal da sua actividade.

6. O facto de uma sociedade residente de um Estado Contratante controlar ou ser controlada por uma sociedade residente do outro Estado Contratante ou que exerce a sua actividade nesse outro Estado, quer seja através de um estabelecimento estável, quer de outro modo, não é, por si, bastante para fazer de qualquer dessas sociedades estabelecimento estável da outra.

CAPÍTULO III
Tribulação dos rendimentos
ARTIGO 6.º
Rendimentos dos bens imobiliários
1. Os rendimentos provenientes de bens imobiliários podem ser tributados no Estado Contratante em que esses bens estiverem situados:

a) A expressão "bens imobiliários», salvo o disposto na alínea b), é definida de acordo com o direito do Estado Contratante em que tais bens estiverem situados;

b) A expressão "bens imobiliários» compreende sempre os acessórios, o gado e o equipamento das explorações agrícolas e florestais, os direitos a que se apliquem as disposições do direito privado relativas à propriedade de bens imóveis, o usufruto de bens imobiliários e os direitos a retribuições variáveis ou fixas pela exploração ou pela concessão da exploração de jazigos minerais, fontes e outros recursos naturais; os navios, barcos e aeronaves não são considerados bens imobiliários.

3. A disposição do n.º 1 aplica-se aos rendimentos derivados da utilização directa, do arrendamento ou de qualquer outra forma de utilização dos bens imobiliários. Essa disposição aplica-se igualmente aos rendimentos derivados dos bens que, de acordo com a legislação fiscal do Estado Contratante em que tais bens estiverem situados, sejam assimilados aos rendimentos derivados dos bens imobiliários.

4. O disposto nos n.os 1 e 3 aplica-se igualmente aos rendimentos provenientes dos bens imobiliários de uma empresa e aos rendimentos dos bens imobiliários utilizados para o exercício de profissões liberais.

ARTIGO 7.º
Lucros das empresas
1. Os lucros de uma empresa de um Estado Contratante só podem ser tributados nesse Estado, a não ser que a empresa exerça a sua actividade no outro Estado Contratante por meio de um estabelecimento estável aí situado. Se a empresa exercer a sua actividade deste modo, os seus lucros pedem ser tributados no outro Estado, mas ùnicamente na medida em que forem imputáveis a esse estabelecimento estável.

2. Quando uma empresa de um Estado Contratante exercer a sua actividade no outro Estado Contratante por meio de um estabelecimento estável aí situado, serão imputados, em cada Estado Contratante, a esse estabelecimento estável os lucros que este obteria se fosse uma empresa distinta e separada que exercesse as mesmas actividades ou actividades similares, nas mesmas condições ou em condições similares e tratasse com absoluta independência.

3. Na determinação do lucro de um estabelecimento estável é permitido deduzir as despesas, devidamente comprovadas, que tiverem sido feitas para realização dos fins prosseguidos por esse estabelecimento estável, incluindo as despesas de direcção e as despesas gerais de administração igualmente comprovadas e efectuadas com o fim referido, quer no Estado em que esse estabelecimento estável estiver situado, quer fora dele, excluídas as despesas que não seriam dedutíveis se o estabelecimento estável fosse uma empresa desse Estado.

4. Se for usual, num Estado Contratante, determinar os lucros imputáveis a um estabelecimento estável com base numa repartição dos lucros totais da empresa entre as suas diversas partes, a disposição do n.º 2 não impedirá esse Estado Contratante de determinar os lucros tributáveis de acordo com a repartição usual; o método de repartição adoptado deve, no entanto, conduzir a um resultado conforme com os princípios enunciados neste artigo.

5. Nenhum lucro será imputado a um estabelecimento estável pelo facto da simples compra de mercadorias, por esse estabelecimento estável, para a empresa.

6. Para efeitos dos números precedentes, os lucros a imputar ao estabelecimento estável serão calculados, em cada ano, segundo o mesmo método, a não ser que existam motivos válidos e suficientes para proceder de forma diferente.

7. Quando os lucros compreendam elementos do rendimento especialmente tratados noutros artigos desta Convenção, as respectivas disposições não serão afectadas pelas deste artigo.

ARTIGO 8.º
Navegação marítima e aérea
1. Não obstante o disposto nos n.os 1 a 6 do artigo 7.º, os lucros provenientes da exploração de navios ou aeronaves no tráfego internacional podem ser tributados no Estado Contratante em que estiver situada a direcção efectiva da empresa.

2. Se a direcção efectiva de uma empresa de navegação marítima se situar a bordo de um navio, a direcção efectiva considera-se situada no Estado Contratante em que se encontra o porto onde esse navio estiver registado, ou, na falta do porto de registo, no Estado Contratante de que é residente a pessoa que explora o navio.

3. Os lucros provenientes da exploração de navios ou aeronaves no tráfego internacional por uma empresa de um Estado Contratante, e obtidos através da participação num pool, numa exploração em comum ou num organismo internacional de exploração, podem ser tributados no Estado Contratante em que estiver situada a direcção efectiva da empresa.

ARTIGO 9.º
Empresas associadas
Quando uma empresa de um Estado Contratante participar directa ou indirectamente na direcção, no contrôle ou no capital de uma empresa do outro Estado Contratante, ou as mesmas pessoas participarem directa ou indirectamente na direcção, no contrôle ou no capital de uma empresa de um Estado Contratante e de uma empresa do outro Estado Contratante, e, em ambos os casos, as duas empresas, nas suas relações comerciais ou financeiras, estiverem ligadas por condições aceites ou impostas que difiram das que seriam estabelecidas entre empresas independentes, os lucros que, se não existissem essas condições, teriam sido obtidos por uma das empresas, mas não o foram por causa dessas condições, podem ser incluídos nos lucros dessa empresa e, consequentemente, tributados.

ARTIGO 10.º
Dividendos
1. Os dividendos atribuídos ou pagos por uma sociedade residente de um Estado Contratante a um residente do outro Estado Contratante podem ser tributados nesse outro Estado.

2. Esses dividendos podem, no entanto, ser tributados no Estado Contratante de que é residente a sociedade que paga os dividendos e de acordo com a legislação desse Estado, mas o imposto assim estabelecido não excederá:

a) 10 por cento do montante bruto dos dividendos, se o seu beneficiário for uma sociedade que tenha directamente pelo menos 25 por cento do capital da sociedade que paga os dividendos;

b) 15 por cento do montante bruto dos dividendos, nos restantes casos.
As autoridades competentes dos Estados Contratantes estabelecerão, de comum acordo, a forma de aplicar estes limites.

Este número não afecta a tributação da sociedade pelos lucros dos quais os dividendos são pagos.

3. O termo "dividendos», usado neste artigo, significa os rendimentos provenientes de acções, acções ou bónus, de fruição, partes de minas, partes de fundador ou outros direitos, com excepção dos créditos, que permitam participar nos lucros, assim como os rendimentos derivados de outras partes sociais assimilados aos rendimentos das acções pela legislação fiscal do Estado de que é residente a sociedade que os distribui. O termo inclui também os lucros auferidos pelo partícipe em regime de conta em participação.

4. O disposto nos n.os 1 e 2 não é aplicável se o beneficiário dos dividendos, residente de um Estado Contratante, tiver, no outro Estado Contratante de que é residente a sociedade que paga os dividendos, um estabelecimento estável a que estiver efectivamente ligada a participação que dá origem aos dividendos. Neste caso, os dividendos podem ser tributados nesse outro Estado e de acordo com a sua legislação fiscal.

5. Quando uma sociedade residente de um Estado Contratante obtiver lucros ou rendimentos provenientes do outro Estado Contratante, este outro Estado não poderá exigir nenhum imposto sobre os dividendos pagos pela sociedade às pessoas não residentes desse outro Estado, nem sujeitar os lucros não distribuídos da sociedade a um imposto sobre os lucros não distribuídos, mesmo que os dividendos pagos ou os lucros não distribuídos consistam, total ou parcialmente, em lucros ou rendimentos provenientes desse outro Estado; esta disposição não será interpretada como limitando o direito desse outro Estado de tributar os dividendos respeitantes a uma participação efectivamente ligada a um estabelecimento estável que nesse outro Estado tenha uma pessoa não residente de tal Estado.

ARTIGO 11.º
Juros
1. Os juros provenientes de um Estado Contratante e atribuídos ou pagos a um residente do outro Estado Contratante podem ser tributados nesse outro Estado.

2. No entanto, esses juros podem ser tributados no Estado Contratante de que provêm e de acordo com a legislação desse Estado, mas o imposto assim estabelecido não excederá 15 por cento do montante dos juros. As autoridades competentes dos Estados Contratantes estabelecerão, de comum acordo, a forma de aplicar este limite.

3. O termo "juros», usado neste artigo, significa os rendimentos da dívida pública, de obrigações com ou sem garantia hipotecária e com direito ou não a participar nos lucros e de outros créditos de qualquer natureza, bem como quaisquer outros rendimentos assimilados aos rendimentos de importâncias emprestadas pela legislação fiscal do Estado de que provêm os rendimentos. No caso de Portugal, o termo inclui também as importâncias pagas pela suspensão ou redução de uma determinada actividade industrial ou comercial que é exercida ou foi anteriormente exercida por uma empresa de um Estado Contratante.

4. O disposto nos n.os 1 e 2 não é aplicável se o beneficiário dos juros, residente de um Estado Contratante, tiver, no outro Estado Contratante de que provêm os juros, um estabelecimento estável a que estiver efectivamente ligado o crédito que dá origem aos juros. Neste caso, os juros podem ser tributados nesse outro Estado e de acordo com a sua legislação fiscal.

5. Os juros consideram-se provenientes de um Estado Contratante quando o devedor for esse próprio Estado, uma sua autarquia local ou um residente desse Estado.

Todavia, quando o devedor dos juros, seja ou não residente de um Estado Contratante, tiver num Estado Contratante um estabelecimento estável em relação com o qual haja sido contraída a obrigação que dá origem aos juros e esse estabelecimento estável suporte o pagamento desses juros, tais juros são considerados provenientes do Estado Contratante em que o estabelecimento estável estiver situado.

6. Quando, devido a relações especiais existentes entre o devedor e o credor ou entre ambos e qualquer outra pessoa, o montante dos juros pagos, tendo em conta o crédito pelo qual são pagos, exceder o montante que seria acordado entre o devedor e o credor, na ausência de tais relações, as disposições deste artigo são aplicáveis apenas a este último montante. Neste caso, o excesso pode continuar a ser tributado de acordo com a legislação de cada Estado Contratante, tendo em conta as outras disposições desta Convenção.

ARTIGO 12.º
"Royalties»
1. As royalties provenientes de um Estado Contratante e atribuídas ou pagas a um residente do outro Estado Contratante podem ser tributadas nesse outro Estado.

2. Todavia, essas royalties podem ser tributadas no Estado Contratante de que provêm e de acordo com a legislação desse Estado, mas o imposto assim estabelecido não excederá 10 por cento do montante bruto das royalties. As autoridades competentes dos Estados Contratantes estabelecerão de comum acordo a forma de aplicar este limite.

3. O termo "royalties», usado neste artigo, significa as retribuições de qualquer natureza atribuídas ou pagas pelo uso ou pela concessão do uso de um direito de autor sobre uma obra literária, artística ou científica, incluindo os filmes cinematográficos, bem como os filmes e gravações patente, de uma marca de fabrico ou de comércio, de um desenho ou de um modelo, de um plano, de uma fórmula ou de um processo secretos, bem como pelo uso ou pela concessão do uso de um equipamento industrial, comercial ou científico e por informações respeitantes a uma experiência adquirida no sector industrial, comercial ou científico.

4. O disposto nos n.os 1 e 2 não é aplicável se o beneficiário das royalties, residente de um Estado Contratante, tiver, no outro Estado Contratante de que provêm as royalties, um estabelecimento estável a que estiver efectivamente ligado o direito ou bem que dá origem às royalties. Neste caso, as royalties podem ser tributadas nesse outro Estado e de acordo com a sua legislação fiscal.

5. As royalties consideram-se provenientes de um Estado Contratante quando o devedor for esse próprio Estado, uma sua autarquia local ou um residente desse Estado. Todavia, quando o devedor das royalties, seja ou não residente de um Estado Contratante, tiver num Estado Contratante um estabelecimento estável em relação com o qual haja sido contraída a obrigação de pagar as royalties e esse estabelecimento estável suporte o pagamento dessas royalties, tais royalties são consideradas provenientes do Estado Contratante em que o estabelecimento estável estiver situado.

6. Quando, devido a relações especiais existentes entre o devedor e o beneficiário das royalties ou entre ambos e qualquer outra pessoa, o montante das royalties pagas, tendo em conta a prestação pela qual são pagas, exceder o montante que seria acordado entre o devedor e o beneficiário, na ausência de tais relações, as disposições deste artigo são aplicáveis apenas a este último montante. Neste caso, o excesso pode continuar a ser tributado de acordo com a legislação de cada Estado Contratante, tendo em conta as outras disposições desta Convenção.

ARTIGO 13.º
Mais-valias
1. Os ganhos provenientes da alienação de bens imobiliários, conforme são definidos no artigo 6.º, podem ser tributados no Estado Contratante em que tais bens estiverem situados.

2. Os ganhos provenientes da alienação de bens mobiliários que façam parte do activo de um estabelecimento estável que uma empresa de um Estado Contratante tenha no outro Estado Contratante ou de bens mobiliários afectos a uma instalação fixa de que um residente de um Estado Contratante disponha no outro Estado Contratante para o exercício de uma profissão liberal, incluindo os ganhos provenientes da alienação desse estabelecimento estável, isolado ou com o conjunto da empresa, ou dessa instalação fixa, podem ser tributados nesse outro Estado. Todavia, os ganhos provenientes da alienação dos bens mobiliários mencionados no n.º 3 do artigo 22.º podem ser tributados no Estado Contratante em que estiver situada a direcção efectiva da empresa alienante.

3. Os ganhos provenientes da alienação de quaisquer outros bens, diferentes dos mencionados nos n.os 1 e 2, só podem ser tributados no Estado Contratante de que o alienante é residente.

4. Não obstante o disposto no n.º 3, uma pessoa singular que não tenha sido residente de um Estado Contratante por mais de cinco anos e que dentro desse período obtenha ganhos provenientes da alienação de acções de uma sociedade residente do outro Estado Contratante pode ser tributada nesse outro Estado, desde que seja seu nacional, tenha sido residente desse outro Estado no período que precede imediatamente o momento em que se tornou residente do Estado primeiramente mencionado, e tais ganhos não estejam sujeitos a imposto no Estado primeiramente mencionado.

5. As disposições deste artigo não serão interpretadas como limitando o direito de um Estado Contratante de tributar os ganhos provenientes da incorporação de reservas no capital das sociedades com sede ou direcção efectiva nesse Estado Contratante e da emissão de acções com reserva de preferência para os sócios de tais sociedades.

ARTIGO 14.º
Profissões independentes
1. Os rendimentos obtidos por um residente de um Estado Contratante pelo exercício de uma profissão liberal ou de outras actividades independentes de carácter similar só podem ser tributados nesse Estado; a não ser que esse residente disponha, de forma habitual no outro Estado Contratante, de uma instalação fixa para o exercício das suas actividades. Se dispuser dessa instalação, os rendimentos podem ser tributados no outro Estado, mas ùnicamente na medida em que forem imputáveis a essa instalação fixa.

2. A expressão "profissões liberais» abrange em especial as actividades independentes de carácter científico, literário, artístico, educativo ou pedagógico, bem como as actividades independentes de médicos, advogados, engenheiros, arquitectos, dentistas e contabilistas.

ARTIGO 15.º
Empregos
1. Com ressalva do disposto nos artigos 16.º, 18.º, 19.º e 20.º, os salários, ordenados e remunerações similares obtidos de um emprego por um residente de um Estado Contratante só podem ser tributados nesse Estado, a não ser que o emprego seja exercido no outro Estado Contratante. Se o emprego for aí exercido, as remunerações correspondentes podem ser tributadas nesse outro Estado.

2. Não obstante o disposto no n.º 1, as remunerações obtidas por um residente de um Estado Contratante de um emprego exercido no outro Estado Contratante só podem ser tributadas no Estado primeiramente mencionado se:

a) O beneficiário permanecer no outro Estado durante um período ou períodos que, no ano civil em causa, não excedam no total cento e oitenta e três dias; e

b) As remunerações forem pagas por uma entidade patronal ou em nome de uma entidade patronal que não seja residente do outro Estado; e

c) As remunerações não forem suportadas por um estabelecimento estável ou por uma instalação fixa que a entidade patronal tenha no outro Estado.

3. Não obstante as disposições anteriores deste artigo, as remunerações de um emprego exercido a bordo de um navio ou de uma aeronave no tráfego internacional podem ser tributadas no Estado Contratante em que estiver situada a direcção efectiva da empresa.

ARTIGO 16.º
Percentagens de membros de conselhos
As percentagens, senhas de presença e remunerações similares obtidas por um residente de um Estado Contratante na qualidade de membro do conselho de administração ou fiscal de uma sociedade residente do outro Estado Contratante podem ser tributadas nesse outro Estado. Porém, as remunerações pagas por essa sociedade a um membro do conselho de administração, em virtude do exercício de uma actividade permanente, podem ser tributadas de acordo com as disposições do artigo 15.º

ARTIGO 17.º
Artistas e desportistas
Não obstante o disposto nos artigos 14.º e 15.º, os rendimentos obtidos pelos profissionais de espectáculo, tais como artistas de teatro, cinema, rádio ou televisão e músicos, bem como pelos desportistas, provenientes das suas actividades pessoais exercidas nessa qualidade, podem ser tributados no Estado Contratante em que essas actividades forem exercidas.

ARTIGO 18.º
Pensões
Com ressalva do disposto no n.º 1 do artigo 19.º, as pensões e remunerações similares pagas a um residente de um Estado Contratante em consequência de um emprego anterior só podem ser tributadas nesse Estado.

ARTIGO 19.º
Remunerações públicas, etc.
1. As remunerações, incluindo as pensões, pagas por um Estado Contratante ou por uma das suas autarquias locais, quer directamente, quer através de fundos por eles constituídos, a uma pessoa singular, em consequência de serviços prestados a esse Estado ou a essa autarquia, podem ser tributadas nesse Estado.

2. O disposto nos artigos 15.º, 16.º e 18.º aplica-se às remunerações ou pensões pagas em consequência de serviços prestados em relação com uma actividade comercial ou industrial exercida por um dos Estados Contratantes ou por uma das suas autarquias locais.

ARTIGO 20.º
Estudantes
Uma pessoa que é, ou foi antes, residente de um Estado Contratante e que permanece temporàriamente no outro Estado Contratante ùnicamente:

a) Como estudante de uma Universidade, colégio ou escola; ou
b) Como estagiário comercial ou técnico para o fim de formação, o que deve ser comunicado pela autoridade competente do Estado Contratante de que ele é, ou foi, residente; ou

c) Como beneficiário de subsídio, pensão ou prémio concedidos por uma organização religiosa, caritativa, científica ou educativa, e com o fim principal de estudo ou pesquisa;

não será tributada nesse outro Estado relativamente às quantias recebidas para fazer face à sua manutenção, estudos ou formação ou com relação a uma bolsa de estudo. O mesmo se aplicará às remunerações de serviços prestados nesse outro Estado, desde que tais serviços estejam em relação com o estudo ou formação ou sejam necessários à sua manutenção.

ARTIGO 21.º
Rendimentos não expressamente mencionados
Os elementos do rendimento de um residente de um Estado Contratante não expressamente mencionados nos artigos anteriores desta Convenção só podem ser tributados nesse Estado. Porém, se esses elementos do rendimento não estão sujeitos a imposto em conformidade com a legislação desse Estado, podem ser tributados no outro Estado Contratante de acordo com a legislação deste outro Estado.

CAPÍTULO IV
Tributação do capital
ARTIGO 22.º
Capital
1. O capital constituído por bens imobiliários como são definidos no artigo 6.º pode ser tributado no Estado Contratante onde esses bens estão situados.

2. O capital constituído por bens mobiliários que fazem parte do activo de um estabelecimento estável de uma empresa ou por bens mobiliários afectos a uma instalação fixa utilizada no exercício de uma profissão liberal pode ser tributado no Estado Contratante onde está situado esse estabelecimento estável ou essa instalação fixa.

3. Os navios e aeronaves utilizados no tráfego internacional, bem como os bens mobiliários afectos à sua exploração, podem ser tributados no Estado Contratante onde está situada a direcção efectiva da empresa.

4. Todos os outros elementos do capital de um residente de um Estado Contratante só podem ser tributados nesse Estado.

CAPÍTULO V
Método para eliminar a dupla tributação
ARTIGO 23.º
A) Método de imputação - Portugal
1. Quando um residente de Portugal obtiver rendimentos que, de acordo com o disposto nesta Convenção, possam ser tributados na Noruega, Portugal deduzirá do imposto sobre os rendimentos desse residente uma importância igual ao imposto sobre o rendimento pago na Noruega. A importância deduzida não poderá, contudo, exceder a fracção do imposto português, calculado antes da dedução, correspondente aos rendimentos tributados na Noruega.

B) Método de isenção - Noruega
2. Quando um residente da Noruega obtiver rendimentos ou for proprietário de capital que em conformidade com o disposto nesta Convenção, possam ser tributados em Portugal, a Noruega isentará de imposto esses rendimentos ou esse capital, observando o disposto no n.º 3, mas, para calcular, o quantitativo do imposto sobre o resto do rendimento ou do capital desse residente, poderá aplicar a taxa que aplicaria se tais rendimentos ou capital não tivessem sido isentos.

3. Quando um residente da Noruega obtiver rendimentos que, de acordo com o disposto nos artigos 10.º, 11.º e 12.º, possam ser tributados em Portugal, a Noruega deduzirá do imposto sobre os rendimentos desse residente uma importância igual ao imposto pago em Portugal, observado o disposto nos n.os 4 e 5. A importância deduzida não poderá, contudo, exceder a fracção do imposto, calculado antes da dedução, correspondente aos rendimentos tributados em Portugal.

4. Não obstante o disposto no n.º 3, os dividendos atribuídos ou pagos por uma sociedade residente de Portugal a uma sociedade residente na Noruega serão isentos do imposto norueguês na medida em que os dividendos teriam sido isentos, em virtude da lei norueguesa, se a primeira sociedade fosse um residente da Noruega e não um residente de Portugal e desde que esses dividendos não sejam dedutíveis do lucro líquido total da sociedade que os atribui ou paga para o efeito do cálculo de todos os impostos portugueses sobre o rendimento.

5. Quando uma isenção ou redução dos impostos portugueses sobre o rendimento for concedida por:

a) Qualquer das disposições seguintes:
1.º Código do Imposto Profissional - artigo 4.º, § 1.º;
2.º Código do Imposto de Capitais - artigos 10.º, n.os 1.º, 3.º, 4.º, 5.º, 6.º, 7.º e 11.º, 21.º, § 2.º, e 22.º;

3.º Código do Imposto Complementar - artigos 8.º, n.º 1, alíneas p), q), s), t), u) e v), e 86.º;

4.º Decreto-Lei 46492, de 18 de Agosto de 1965, artigo 27.º;
desde que estejam em vigor na data da assinatura desta Convenção e não tenham sido modificadas posteriormente ou o tenham sido apenas em pormenores que não afectem a sua natureza geral;

b) Quaisquer outras disposições subsequentes que concedam isenção ou redução consideradas, por acordo entre as autoridades competentes dos Estados Contratantes, de natureza substancialmente similar, se não tiverem sido modificadas ou o tiverem sido apenas em pormenores que não afectem a sua natureza geral;

a dedução do imposto norueguês é, não obstante o disposto no n.º 3, igual ao imposto português que seria pago sobre tais rendimentos se a isenção ou redução não fosse concedida.

CAPÍTULO VI
Disposições especiais
ARTIGO 24.º
Não discriminação
1. Os nacionais de um Estado Contratante não ficarão sujeitos no outro Estado Contratante a nenhuma tributação ou obrigação com ela conexa diferentes ou mais gravosas do que aquelas a que estejam ou possam estar sujeitos os nacionais desse outro Estado que se encontrem na mesma situação.

2. O termo "nacionais» designa:
a) Todas as pessoas singulares que tenham a nacionalidade de um Estado Contratante;

b) Todas as pessoas colectivas, sociedades de pessoas e associações constituídas de harmonia com a legislação em vigor num Estado Contratante.

3. A tributação de:
a) Um estabelecimento estável que uma empresa de um Estado Contratante tenha no outro Estado Contratante;

b) Uma instalação fixa para o exercício de profissão liberal que um residente de um Estado Contratante tenha noutro Estado Contratante;

não será nesse outro Estado menos favorável do que respectivamente a das empresas ou a dos residentes desse outro Estado que exerçam as mesmas actividades ou profissões liberais.

Na tributação dos bens imobiliários que um residente de um Estado Contratante tem no outro Estado Contratante e do respectivo rendimento, as dívidas garantidas por hipoteca e os juros dessas dívidas são dedutíveis nas condições estabelecidas pela lei interna desse outro Estado para os seus residentes.

Estas disposições não poderão ser interpretadas no sentido de obrigar um Estado Contratante a conceder aos residentes do outro Estado Contratante as deduções pessoais, abatimentos e reduções para efeitos fiscais atribuídos em função do estado civil ou encargos familiares e concedidos aos seus próprios residentes.

4. As empresas de um Estado Contratante cujo capital, total ou parcialmente, directa ou indirectamente, seja possuído ou controlado por um ou mais residentes do outro Estado Contratante não ficarão sujeitas, no Estado Contratante primeiramente mencionado, a nenhuma tributação ou obrigação com ela conexa diferentes ou mais gravosas do que aquelas a que estejam ou possam estar sujeitas as empresas similares desse primeiro Estado.

5. O disposto neste artigo não será interpretado como obrigando a Noruega a conceder aos nacionais de Portugal o benefício fiscal excepcional que é concedido aos nacionais da Noruega e a pessoas nascidas de pais com a nacionalidade norueguesa, em conformidade com a secção 22 da lei fiscal norueguesa para os distritos rurais e secção 17 da lei fiscal norueguesa para os distritos urbanos.

O termo "tributação» designa no presente artigo os impostos de qualquer natureza ou denominação.

ARTIGO 25.º
Procedimento amigável
1. Quando um residente de um Estado Contratante considerar que as medidas tomadas por um Estado Contratante ou por ambos os Estados Contratantes conduzem ou poderão conduzir, em relação a si, a uma tributação não conforme com esta Convenção, poderá, independentemente dos recursos estabelecidos pela legislação nacional desses Estados, submeter o seu caso à apreciação da autoridade competente do Estado Contratante de que é residente.

O pedido deverá ser apresentado dentro de dois anos a contar da data da comunicação do imposto que tenha dado causa à reclamação, ou, no caso de tributação nos dois Estados, da segunda tributação, ou, no caso de imposto devido na fonte, da data do pagamento dos rendimentos que hajam sido tributados, mesmo que se trate da segunda tributação.

2. Essa autoridade competente, se a reclamação se lhe afigurar fundada e não estiver em condições de lhe dar uma solução satisfatória, esforçar-se-á por resolver a questão através de acordo amigável com a autoridade competente do outro Estado Contratante, a fim de evitar a tributação não conforme com a Convenção.

3. As autoridades competentes dos Estados Contratantes esforçar-se-ão por resolver, através de acordo amigável, as dificuldades ou as dúvidas a que possa dar lugar a interpretação ou a aplicação da Convenção. Poderão também consultar-se a fim de eliminar a dupla tributação em casos não previstos pela Convenção.

4. As autoridades competentes dos Estados Contratantes poderão comunicar directamente entre si a fim de chegarem a acordo nos termos indicados nos números anteriores. Se se afigurar que tal acordo poderá ser facilitado por trocas de impressões orais, essas trocas de impressões poderão efectuar-se no seio de uma comissão composta por representantes das autoridades competentes dos Estados Contratantes.

ARTIGO 26.º
Troca de informações
1. As autoridades competentes dos Estados Contratantes trocarão entre si as informações necessárias para aplicar esta Convenção e as leis internas dos Estados Contratantes relativas aos impostos abrangidos por esta Convenção na medida em que a tributação nelas prevista for conforme com esta Convenção. Todas as informações deste modo trocadas serão consideradas secretas e só poderão ser comunicadas às pessoas ou autoridades encarregadas do lançamento ou cobrança dos impostos abrangidos por esta Convenção.

2. O disposto no n.º 1 nunca poderá ser interpretado no sentido de impor a um dos Estados Contratantes a obrigação:

a) De tomar medidas administrativas contrárias à sua legislação ou à sua prática administrativa ou às do outro Estado Contratante;

b) De fornecer informações que não possam ser obtidas com base na sua legislação ou no âmbito da sua prática administrativa normal ou das do outro Estado Contratante;

c) De transmitir informações reveladoras de segredos ou processos industriais, comerciais ou profissionais, ou informações cuja comunicação seria contrária à ordem pública.

ARTIGO 27.º
Funcionários diplomáticos e consulares
O disposto na presente Convenção não prejudicará os privilégios fiscais de que beneficiem os funcionários diplomáticos ou consulares em virtude de regras gerais de direito internacional ou de disposições de acordos especiais.

Na medida em que, por força dos privilégios fiscais concedidos aos funcionários diplomáticos ou consulares, em virtude de regras gerais de direito internacional ou de disposições de acordos internacionais especiais, o rendimento ou o capital não estejam sujeitos a imposto no Estado acreditário, será reservado o direito de tributação no Estado acreditante, de acordo com a sua legislação, independentemente do disposto nesta Convenção.

ARTIGO 28.º
Extensão territorial
1. Esta Convenção poderá tornar-se extensiva, nos termos presentes ou com as necessárias modificações, a qualquer parte do território da Noruega ou de Portugal que foi explícita ou implìcitamente excluída da sua aplicação e no qual sejam exigidos impostos de carácter análogo àqueles a que se aplica a Convenção. Tal extensão tornar-se-á efectiva, na data, com as modificações e nas condições, incluindo as relativas à cessação de aplicação, fixadas de comum acordo entre os Estados Contratantes por troca de notas diplomáticas ou segundo outro procedimento conforme com as respectivas disposições constitucionais.

2. A não ser que outra coisa seja convencionada entre os dois Estados Contratantes, quando a Convenção for denunciada por um deles, segundo o artigo 30.º, deixará de se aplicar, nas condições previstas nesse artigo, a todo o território da Noruega ou de Portugal a que, de acordo com este artigo, se tenha tornado extensiva.

CAPÍTULO VII
Disposições finais
ARTIGO 29.º
Entrada em vigor
1. A presente Convenção será ratificada e os instrumentos de ratificação serão trocados em ... o mais cedo possível.

2. A Convenção entrará em vigor um mês após a troca dos instrumentos de ratificação e as suas disposições serão aplicáveis, pela primeira vez:

a) Em Portugal:
1.º Aos impostos devidos na fonte cujo facto gerador surja em ou depois de 1 de Janeiro do ano civil seguinte ao da entrada em vigor da Convenção;

2.º Aos demais impostos sobre rendimentos, relativamente aos rendimentos produzidos no ano civil seguinte ao da entrada em vigor da Convenção.

b) Na Noruega:
Aos impostos sobre o rendimento ou capital relativo ao ano civil (incluindo os períodos contabilísticos encerrados nesse ano) seguinte ao da entrada em vigor da Convenção.

ARTIGO 30.º
Denúncia
A presente Convenção estará em vigor enquanto não for denunciada por um dos Estados Contratantes. Qualquer dos Estados Contratantes pode denunciar a Convenção por via diplomática, mediante um aviso prévio mínimo de seis meses antes do fim de qualquer ano civil depois de 1972. Nesse caso, a Convenção deixará de se aplicar:

a) Em Portugal:
1.º Aos impostos devidos na fonte cujo facto gerador surja em ou depois de 1 de Janeiro do ano civil seguinte ao da denúncia;

2.º Aos demais impostos sobre o rendimento, relativamente aos rendimentos produzidos em ou depois de 1 de Janeiro do ano civil seguinte ao da denúncia.

b) Na Noruega:
Aos impostos sobre o rendimento ou capital relativos ao ano civil (incluindo os períodos contabilísticos encerrados nesse ano) seguinte ao da denúncia.

Em testemunho do qual os plenipotenciários dos dois Estados assinaram a presente Convenção e apuseram os respectivos selos.

PROTOCOLO
No momento da assinatura da Convenção para Evitar a Dupla Tributação em Matéria de Impostos sobre o Rendimento e sobre o Capital, nesta data concluída entre Portugal e a Noruega, os plenipotenciários signatários acordaram que fazem parte integrante da Convenção as disposições seguintes:

I) Ad. artigos 8.º, 13.º e 22.º
1. Quando uma empresa, cuja actividade consista na exploração de navios ou aeronaves no tráfego internacional, seja explorada por um ou mais sócios solidàriamente responsáveis residentes de um Estado Contratante e por um ou mais sócios solidàriamente responsáveis residentes do outro Estado Contratante, e as autoridades competentes de ambos os Estados entenderem que não é possível concluir que a direcção efectiva da empresa está situada apenas num dos Estados Contratantes, os lucros referidos no n.º 1 do artigo 8.º, os ganhos referidos no n.º 2 (segundo período) do artigo 13.º e o capital referido no n.º 3 do artigo 22.º só podem ser tributados proporcionalmente à participação que cada sócio solidàriamente responsável tenha no Estado Contratante de que esse sócio é residente.

2. O disposto no n.º 1 do artigo 8.º, n.º 2 (segundo período), do artigo 13.º e n.º 3 do artigo 22.º é aplicável, respectivamente, aos lucros ou mais-valias obtidos, assim como ao capital que seja propriedade da organização conjunta de transporte aéreo norueguesa, dinamarquesa e sueca, Scandinavian Airlines System (S. A. S.), mas sòmente na medida dos lucros e ganhos obtidos ou do capital que seja propriedade do sócio norueguês da Scandinavian Airlines System (S. A. S.) na proporção da sua participação nesta organização.

II) Ad. artigo 11.º
As importâncias referidas no n.º 3 (último período) do artigo 11.º, pela legislação norueguesa, são consideradas lucro e podem ser tributadas na Noruega, de acordo com as disposições do artigo 7.º, quando obtidas por uma empresa que através de um estabelecimento estável situado nesse país exerce, ou exerceu anteriormente, determinada actividade industrial ou comercial, conforme é referido.

III) Ad. artigo 15.º
1. Se o beneficiário das remunerações mencionadas no n.º 2 do artigo 15.º permanecer no Estado Contratante em que o emprego é exercido por um período ou períodos que, no ano civil em causa, excedam no total cento e oitenta e três dias, essas remunerações podem ser tributadas nesse Estado Contratante desde o início desse período ou períodos.

2. As remunerações mencionadas no n.º 3 do artigo 15.º podem ser tributadas no Estado Contratante em que o navio ou aeronave estiver registado, quando obtidas de um emprego exercido a bordo de um navio ou aeronave no tráfego internacional explorado por uma empresa de um ou mais sócios solidàriamente responsáveis residentes de um Estado Contratante e por um ou mais sócios solidàriamente responsáveis residentes do outro Estado Contratante e não seja possível concluir que a direcção efectiva dessa empresa está situada apenas num dos Estados Contratantes

3. As remunerações mencionadas no n.º 3 do artigo 15.º de um emprego exercido a bordo de uma aeronave explorada no tráfego internacional pela Scandinavian Airlines System (S. A. S.) e obtida por um residente da Noruega só podem ser tributadas nesse Estado.

Em testemunho do qual os plenipotenciários dos dois Estados assinaram o presente Protocolo e apuseram os respectivos selos.

Convention between the Government of Norway and the Government of Portugal for the Avoidance of Double Taxation with Respect to Taxes on Income and on Capital. The Government of Norway and the Government of Portugal desiring to conclude a Convention for the avoidance of double taxation with respect to taxes on income and on capital, have agreed upon the following articles:

CHAPTER I
Scope of the Convention
ARTICLE 1
Personal scope
This Convention shall apply to persons who are residents of one or both of the Contracting States.

ARTICLE 2
Taxes covered
I. This Convention shall apply to taxes on income and on capital imposed on behalf of each Contracting State or of its local authorities, irrespective of the manner in which they are levied.

2. There shall be regarded as taxes on income and on capital all taxes imposed on total income, on total capital, or on elements of income or of capital, including taxes on gains from the alienation of movable or immovable property, as well as taxes on capital appreciation.

3. The existing taxes to which the Convention shall apply are, in particular:
a) In the case of Portugal:
1) The property tax (contribuição predial);
2) The agricultural tax (imposto sobre a indústria agrícola);
3) The industrial tax (contribuição industrial);
4) The tax on income from movable capital (imposto de capitais);
5) The professional tax (imposto profissional);
6) The complementary tax (imposto complementar);
7) The tax for overseas defence and development (imposto para a defesa e valorização do ultramar);

8) The tax on capital gains (imposto de mais-valias);
9) Any surcharges on the preceding taxes;
10) Other taxes charged by reference to the taxes referred to in heads 1) to 8) for the benefit of local authorities and the corresponding surcharges;

hereinafter referred to as "Portuguese tax».
b) In the case of Norway:
1) National income tax (inntektsskat til staten);
2) National tax equalization dues (skatteutjevningsavgift til staten);
3) National tax in aid of developing countries (saerskatt til staten for utviklingshjelp);

4) National dues on the salaries of foreign artists (avgift til staten av honorarer som tilfaller kunstnere bosalt i utlandet);

5) National capital tax (formuesskatt til staten);
6) Municipal income tax (kommunall inntektsskatt);
7) Municipal capital tax (kommunal formuesskatt);
8) Municipal property tax (kommunal eiendomsskatt);
9) Seamen's tax (ver documento original);
10) Tax on dependent children's earnings (skatt av (ver documento original) barns inntekter);

hereinafter referred to as "Norwegian tax».
4. The Convention shall also apply to any identical or substantially similar taxes which are subsequently imposed in addition to, or in place of, the existing taxes. At the begining of each year, the competent authorities of the Contracting States shall notify to each other any changes which have been made in their respective taxation laws during the preceding year.

CHAPTER II
Definitions
ARTICLE 3
General definitions
1. In this Convention, unless the context otherwise requires:
a) The terms "a Contracting State» and "the other Contracting State» mean Portugal or Norway, as the context requires;

b) The term "Portugal» means European Portugal comprising the continental territory and the archipelagoes of Azores and Madeira and includes any area outside the territorial sea of Portugal which in accordance with international law has been or may hereafter be designated under the laws of Portugal concerning the Continental Shelf, as an area within which the rights of Portugal with respect to the sea bed and subsoil and their natural resources may be exercised;

c) The term "Norway» means the Kingdom of Norway, including any area adjacent to the territorial waters of Norway which by Norwegian legislation, and in accordance with international law, has been or may hereafter be designated as an area within which the rights of Norway with respect to the sea bed and subsoil and their natural resources may be exercised; the term does not comprise Svalbard (Spitsbergen, including Bear Island), Jan Mayen, and the Norwegian dependencies outside Europe;

d) The term "person» comprises an individual, a company and any other body of persons;

e) The term "company» means any body corporate or any entity which is treated as a body corporate for tax purposes;

f) The term "enterprise of a Contracting State» and "enterprise of the other Contracting State» mean respectively an enterprise carried on by a resident of a Contracting State and an enterprise carried on by a resident of the other Contracting State;

g) The term "competent authorities» means, in the case of Portugal, the Minister of Finance, the director general of Taxation (director-geral das Contribuições e Impostos) or their authorized representatives, and in the case of Norway, the Minister of Finance and Customs or his authorized representative;

h) The term "international traffic» includes any voyage of a ship or aircraft operated by an enterprise of a Contracting State other than a voyage confined solely to the other Contracting State.

2. As regards the application of the Convention by a Contracting State, any term not otherwise defined shall, unless the context otherwise requires, have the meaning which it has under the laws of that Contracting State relating to the taxes which are the subject of the Convention.

ARTICLE 4
Fiscal domicile
1. For the purposes of this Convention, the term "resident of a Contracting State» means any person who, under the law of that State, is liable to taxation therein by reason of his domicile, residence, place of management or any other criterion of a similar nature.

2. Where by reason of the provisions of paragraph 1 an individual is a resident of both Contracting States, then his status shall be determined in accordance with the following rules:

a) He shall be deemed to be a resident of the Contracting State in which he has a permanent home available to him. If he has a permanent home available to him in both Contracting States, he shall be deemed to be a resident of the Contracting State with which his personal and economic relations are closest (centre of vital interests);

b) If the Contracting State in which he has his centre of vital interests cannot be determined, or if he has not a permanent home available to him in either Contracting State, he shall be deemed to be a resident of the Contracting State in which he has an habitual abode;

c) If he has an habitual abode in both Contracting States or in neither of them, he shall be deemed to be a resident of the Contracting State of which he is a national;

d) If he is a national of both Contracting States or of neither of them, the competent authorities of the Contracting States shall endeavour to settle the question by mutual agreement.

3. Where by reason of the provisions of paragraph 1 a person other than an individual is a resident of both Contracting States, then it shall deemed to be a resident of the Contracting State in which its place of effective management is situated.

ARTICLE 5
Permanent establishment
1. For the purposes of this Convention, the term "permanent establishment» means a fixed place of business in which the business of the enterprise is wholly or partly carried on.

2. The term "permanent establishment» shall include especially:
a) A place of management;
b) A branch;
c) An office;
d) A factory;
e) A workshop;
f) A mime, quarry or other place of extraction of natural resources;
g) A building site or construction or assembly project which exists for more than twelve months.

3. The term "permanent establishment» shall not be deemed to include:
a) The use of facilities solely for the purpose of storage, display or delivery of goods or merchandise belonging to the enterprise;

b) The maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of storage, display or delivery;

c) The maintenance of a stock of goods or mercandise belonging to the enterprise solely for the purpose of processing by another enterprise;

d) The maintenance of a fixed place of business solely for the purpose of purchasing goods or merchandise, or for collecting information, for the enterprise;

e) The maintenance of a fixed place of business solely for the purpose of advertising, for the supply of information, for scientific research or for similar activities which have a preparatory or auxiliary character, for the enterprise.

4. A person acting in a Contracting State on behalf of a enterprise of the other Contracting State - other than an agent of an independent status to whom paragraph 5 applies - shall be deemed to be a permanent establishment in the first-mentioned Sate if be has, and habitually exercises in that State, an authority to conclude contracts in the name of the enterprise, unless his activities are limited to the purchase of goods or merchandise for the enterprise.

5. An enterprise of a Contracting State shall not be deemed to have a permanent establishment in the other Contracting State merely because it carries on business in that other State through a broker, general comission agent or any other agent of an independent status, where such person are acting in the ordinary course of their business.

6. The fact that a company which is a resident of a Contracting State controls or is controlled by a company which is a resident of the other Contracting State, or which carries on business in that other State (whether throng a permanent establishment or otherwise), shall not of itself constitute either company a permanent establishment of the other.

CHAPTER III
Taxation of income
ARTICLE 6
Income from immovable property
1. Income from immovable property may be taxed in the Contracting State in which such property is situated.

2.:
a) The term "immovable property» shall, subject to sub-paragraph b) below, be defined in accordance with the law of the State in wich the property in question is situated;

b) The term "immovable property» shall in any case include property acessory to immovable property, livestock and equipment used in agriculture and forestry, rights to which the provisions of general law respecting landed property apply, usufruct of immovable property and rights to variable or fixed payments as consideration for the working of, or the right to work, mineral deposits, sources and other natural resources; hips, boats and aircrafts shall not be regarded as immovable property.

3. The provisions of paragraph 1 shall apply to income derived from the direct use letting, or use in any other from of immovable property. Those provisions shall also apply to income from property which, under the taxation law of the Contracting State in which the property in question is situated, is treated as income from immovable property.

4. The provisions of paragraph 1 and 3 shall also apply to the income from immovable property of an enterprise and to income from immovable property used for the performance of professional services.

ARTICLE 7
Business profits
1. The profits of an enterprise of a Contracting State shall be taxable only in that State unless the enterprise carries on business in the other Contracting State through a permanent establishment situated therein. If the enterprise carries on business as afore said, the profits of the enterprise may be taxed in the other State but only so much of them as is attributable to that permanent establishment.

2. Where an enterprise of a Contracting State carries on business in the other Contracting State through a permanent establishment situated therein, there shall in each Contracting State be attributed to that permanent establishment the profits which it might be excepted to make if it were a distinct and separate enterprise engaged in the same or similar activities under the same or similar conditions and dealing wholly independently.

3. In the determination of the profits of a permanent establishment, there shall be allowed as deductions expenses which are incurred for the purposes of the permanent establishment including executive and general administrative expenses so incurred, whether in the State in which the permanent establishment is situated, or elsewhere, excluding expenses which would not be deduatible if the permanent establishment were an enterprise of that State.

4. In so far as it is customary in a Contracting State to determine the profits to be attributed ao a permanent establishment on the basis of an apportionment of the total profits of the enterprise to its various parts, nothing in paragraph 2 shall preclude that Contracting State from determining the profits to be taxed by such an apportionment as may be customary; the method of apportionment adapted shall, however, be such that the result shall be in accordance with the principles laid down in this article.

5. No profits shall be attributed to a permanent establishment by reason of the mere purchase by that permanent establishment of goods or merchandise for the enterprise.

6. For the purpose of the preceding paragraphs, the profits to be attributed to the permanent establishment shall be determined by the same method year by year unless there is good and sufficient reason to the contrary.

7. Where profits include items of income which are dealt with separately in other articles of this Convention, then the provisions of those articles shall not be affected by the provisions of this article.

ARTICLE 8
Shipping and air transport
1. Notwithstanding the provisions of paragraphs 1-6 of article 7, profits from operation of ships or aircraft in international traffic may be taxed in the Contracting State in which the place of effective management of the enterprise is situated.

2. If the place of effective management of a shipping enterprise is aboard a ship, then it shall be deemed to be situated in the Contracting State in which the home harbour of the ship its situated, or, if there is no such home harbour, in the Contracting State of which the operator of the ship is a resident.

3. Profits from the operation of ships or aircraft in international traffic made by an enterprise of a Contracting State and obtained through the participation in a pool, in a joint business or in an international operating agency may be taxed in the Contracting State in which the place of effective management of the enterprise is situated.

ARTICLE 9
Associated enterprise
Where:
a) An enterprise of a Contracting State participates directly or indirectly in the management, control or capital of an enterprise of the other Contracting State, or

b) The same persons participate directly or indirectly in the management, control or capital of an enterprise of a Contracting State and an enterprise of the other Contracting State,

and in either case conditions are made or imposed between the two enterprises in their commercial or financial relations which differ from those which would be made between independent enterprises, then any profits which would, but for those conditions, have accrued to one of the enterprise, but by reason of those conditions, have not so accrued, may be included in the profits of that enterprise and taxed accordingly.

ARTICLE 10
Dividends
1. Dividends attributed or paid by a company which is a resident of a Contracting State to a resident of the other Contracting State may be taxed in that other State.

2. However, such dividends may be taxed in the Contracting State of which the company paying the dividends is a resident, and according to the law of that State, but the tax so charged shall not exceed:

a) 10 per cent of the gross amount of the dividends, if the recipient is a company which holds directly at least 25 per cent of the capital of the company paying the dividends;

b) In all other cases, 15 percent of the gross amount of the dividends.
The competent authorities of the Contracting State shall by mutual agreement settle the mode of application of this limitation.

This paragraph shall not affect the taxation of the company in respect of the profits out of which the dividends are paid.

3. The term "dividends» as used in this article means income from shares, "jouissance» shares or "jouissance» rights, mining shares, founders'shares or other rights, not being debt-claims, participating in profits, as well as income from other corporate rights assimilated to income from shares by the taxation law of the State of which the company making the distribution is a resident. The term also includes profits attributed under an arrangement for participation in profits (conta em participação).

4. The provisions of paragraphs 1 and 2 shall not apply if the recipient of the dividends, being a resident of a Contracting State, has in the other Contracting State, of which the company paying the dividends is a resident, a permanent establishment with which the holding by virtue of which the dividends are paid is effectively connected. In such a case, dividends may be taxed in that other State and according to its taxation law.

5. Where a company which is a resident of a Contracting State derives profits or income from the other Contracting State, that other State may not impose any tax on the dividends paid by the company to persons who are not residents of that other State, or subject the company's undistributed profits to a tax on undistributed profits, even if the dividends paid or the undistributed profits consist wholly or partly of profits or income arising in such other State; this provision shall not be construed as restricting the right of that other State to tax dividends having regard to a participation which is effectively connected with a permanent establishment carried on in that other State by a person who is not a resident of such State.

ARTICLE 11
Interest
1. Interest arising in a Contracting State and attributed or paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such interest may be taxed in the Contracting State in which it arises, and according to the law of that State, but the tax so charged shall not exceed 15 per cent of the amount of the interest. The competent authorities of the Contracting States shall by mutual agreement settle the mode of application of this limitation.

3. The term "interest» as used in this article means income from Government securities, bonds or debentures, whether or not secured by mortgage and whether or not carrying a right to participate in profits, and other debt-claims of every kind as well as all other income assimilated to income from money lent by the taxation law of the State in which the income arises. In the case of Portugal, the term also includes revenue amount paid for the suspension or reduction of a particular industrial, commercial or business activity carried on, or formerly carried on, by an enterprise of a Contracting State.

4. The provisions of paragraphs 1 and 2 shall not apply if the recipient of the interest, being a resident of a Contracting State, has in the other Contracting State in which the interest arises a permanent establishment with which the debt-claim from which the interest arises is effectively connected. In such a case, interest may be taxed in that other State and according to its taxation law.

5. Interest shall be deemed to arise in a Contracting State when the payer is that State itself, a local authority or a resident of that State. Where, however, the person paying the interest, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment in connection with which the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment, then such interest shall be deemed to arise in the Contracting State in which the permanent establishment is situated.

6. Where, owing to a special relationship between the payer and the recipient or between both of them and some other person, the amount of the interest paid, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the recipient in the absence of such relationship, the provisions of the article shall apply only to the last-mentioned amount. In that case, the excess part of the payment shall remain taxable according to the law of each Contracting State, due regard being had to the other provisions of this Convention.

ARTICLE 12
Royalties
1. Royalties arising in a Contracting State and attributed or paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such royalties may be taxed in the Contracting State in which they arise, and according to the law of that State, but the tax so charged shall not exceed 10 per cent of the gross amount of the royalties The competent authorities of the Contracting State shall by mutual agreement settle the mode of application of this limitation.

3. The term "royalties» as used in this article means considerations of any kind attributed or paid for the use of, or the right to use, any copyright of literary, artistic or scientific work including cinematograph films and films or tapes for radio or television broadcasting, any patent, trade mark, design or model, plan, secret formula or process, or for the use of, or the right to use, industrial, commercial, or scientific equipment, or for information concerning industrial, commercial or scientific experience.

4. The provisions of paragraphs 1 and 2 shall not apply if the recipient of the royalties, being a resident of a Contracting State, has in the other Contracting State in which the royalties arise a permanent establishment with which the right or property giving rise to the royalties is effectively connected. In such a case, royalties may be taxed in that other State, and according to its taxation law.

5. Royalties shall be deemed to arise in a Contracting State when the payer is that State itself, a local authority or a resident of that State. Where, however, the person paying royalties, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment in connection with which the obligation to pay these royalties was incurred, and the royalties are borne by that permanent establishment, then the royalties shall be deemed to arise in the Contracting State in which the permanent establishment is situated.

6. Where, owing to a special relationship between the payer and the recipient or between both of them and some other person, the amount of the royalties paid, having regard to the use, right or information for which they are paid, exceeds the amount which would have been agreed upon by the payer and the recipient in the absence of such relationships, the provisions of this article shall apply only to the last-mentioned amount. In that case, the excess part of the payments shall remain taxable, according to the law of each Contracting State, due regard being had to the other provisions of this Convention.

ARTICLE 13
Capital gains
1. Gains from the alienation of immovable property, as defined in article 6, may be taxed in the Contracting State in which such property is situated.

2. Gains from alienation of movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or of movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing professional services, including such gains from the alienation of such a permanent establishment (alone or together with the whole enterprise) or of such a fixed base, may be taxed in that other State. However, gains from the alienation of movable property of the kind referred to in paragraph 3 of article 22 may be taxed in the Contracting State in which, the effective management of the alienating enterprise is situated.

3. Gains from the alienation of any property other than those mentioned in paragraphs 1 and 2, shall be taxable only in the Contracting State of which the alienator is a resident.

4. Notwithstanding the provisions of paragraph 3, an individual who has not been a resident of a Contracting State for more than five years and who within that period derives gains from the alienation of shares in a company resident in the other Contracting State, may be taxed in that other State, provied that he is a national and was a resident of that other State immediately preceding the time when he became a resident of the first-mentioned State and such gains are not subject to tax in the first-mentioned State.

5. The provisions of this article shall not be construed as restricting the right of a Contracting State to levy tax on gains from the incorporation of reserves in the capital of companies with head office of effective management in that Contracting State or issue of shares with right of preference for the members of such companies.

ARTICLE 14
Independent personal services
1. Income derived by a resident of a Contracting State in respect of professional services or other independent activities of a similar character shall be taxable only in that State, unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other Contracting State but only so much of it as is attributable to that fixed base.

2. The term "professional services» includes, especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.

ARTICLE 15
Employments
I. Subject to the provisions of articles 16, 18, 19 and 20, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment shall be taxable only in that State, unless the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other State.

2. Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of an employment exercised in the other Contracting State shall be taxable only in the first-mentioned State if:

a) The recipient is present in the other State for a period or periods not exceeding in the aggregate one hundred eighty three days in the calendar year concerned, and

b) The remuneration is paid by, or on behalf of, an employer who is not a resident of the other State, and

c) The remuneration is not borne by a permanent establishment or a fixed base which the employer has in the other State.

3. Notwithstanding the preceding provisions of this article, remuneration in respect of an employment exercised aboard a ship or aircraft in international traffic may be taxed in the Contracting State in which the place of effective management of the enterprise is situated.

ARTICLE 16
Directors' fees
Directors' fees and similar payment derived by a resident of a Contracting State in his capacity as a member of the board of directors (conselho de administração - styre) or shareholders committee (conselho fiscal - representantskap) of a company which is a resident of the other Contracting State may be taxed in that other State, provided that remuneration paid by that, company to a member of its board of directors in respect of the exercise of a continuous activity shall be taxable according to the provisions, of article 15.

ARTICLE 17
Artists and athletes
Notwithstanding the provisions of articles 14 and 15, income derived by public entretainers, such as theatre, motion picture, radio or television artists, and musicians, and by athletes, from their personal activities and such may be taxed in the Contracting State in which these activities are exercised.

ARTICLE 18
Pensions
Subject to the provisions of paragraph 1 of article 19, pensions and other similar remuneration paid past to, a resident of a Contracting State in consideration of past employment shall be taxable only in that State.

ARTICLE 19
Public remuneration, etc.
1. Remuneration, including pensions, paid by, or out of funds created by, a Contracting State or a local authority thereof to any individual, in respect of services rendered to the first-mentioned State or local authority thereof may be taxed in that State.

2. The provisions of articles 15, 16 and 18 shall apply to remuneration or pensions in respect of services rendered in connection with any trade or business carried on by one of the Contracting States or local authority thereof.

ARTICLE 20
Students
A person who is, or was formerly, resident of a Contracting State and who is temporarily present in the other Contracting State solely:

a) As a student at a university, college or school, or
b) As a commercial or technical apprentice for the purpose of training to be communicated by the competent authority of the Contracting State of which he is, or was, a resident, or

c) As a recipient of a grant, allowance or award for the primary purpose of study or research from a religious, charitable, scientific or educational organization;

shall not be taxed in that other State in respect of remittances received for the purpose of his maintenance, education or training or in respect of a scholarship grant. The same shall apply to any amount representing remuneration for services rendered in that other State, provided that such services are in connection with his studies or training or are necessary for the purpose of this maintenance.

ARTICLE 21
Income not expressly mentioned
Items of income of a resident of a Contracting State which are not expressly mentioned in the foregoing articles of this Convention shall be taxable only in that State. However, if those items of income are not subject to tax according to the legislation of that State, they may be taxed in the other Contracting State in accordance with the legislation of that other State.

CHAPTER IV
Taxation of capital
ARTICLE 22
Capital
1. Capital represented by immovable property, as defined in article 6, may be taxed in the Contracting State in which such property is situated.

2. Capital represented by movable property forming part of the business property of a permanent establishment of an enterprise, or by movable property pertaining to a fixed base used for the perfomance of professional services, may be taxed in the Contracting State in which the permanent establishment or fixed base is situated.

3. Ships and aircraft operated in international traffic, and movable property pertaining to the operation of such ships and aircraft, may be taxed in the Contracting State in which the place of effective management of the enterprise is situated.

4. All other, elements of capital of a resident of a Contracting State shall be taxable only in that State.

CHAPTER V
Methods for elimination of double taxation
ARTICLE 23
Credit and exemption methods
1. Where a resident of Portugal derives income which in accordance with the provisions of this Convention, may be taxed in Norway, Portugal shall allow as a deduction from the tax on the income of that person an amount equal to the income tax paid in Norway.

Such deduction shall not, however, exceed that part of the Portuguese tax, as computed before the deduction is given, which is appropriate to the income taxed in Norway.

2. Where a resident of Norway derives income or owns capital which, in accordance with the provisions of this Convention, may be taxed in Portugal, Norway shall, subject to the provisions of paragraph 3, exempt such income or capital from tax but may, in calculating tax on the e remaining income or capital of that person, apply the rate of tax which would have been applicable if the exempted income or capital had not been so exempted.

3. Where a resident of Norway derives income which, in accordance with the provisions of articles 10, 11 and 12 may be taxed in Portugal, Norway shall, subject to the provisions of paragraphs, 4 and 5, alow as a deduction from that tax on the income of that person an amount equal to the tax paid in Portugal. Such deduction shall not, however, exceed that part of the tax, as computed before the deduction is given, which is appropriate to the income taxed in Portugal.

4. Notwithstanding the provisions of paragraph 3 of this article, dividends attributed or paid by a company which is a resident of Portugal to a company which is a resident of Norway, shall be exempted from Norwegian tax to the extent to which, in accordance with the laws of Norway, the dividends would have been exempted from Norwegian tax if the first-mentioned company had been a resident of Norway and not a resident of Portugal, provided that such dividends are not deductible from the total net profits of the attributing or paying company for the purpose of computing all Portuguese income taxes.

5. When Portuguese income tax has been exempted or reduced in accordance with:
a) Any of the following provisions:
i) Code of the Professional Tax - article 4.º, paragraph 1;
ii) Code of the Tax on Income from Movable Capital - article 10.º, 1.º, 3.º, 4.º, 5.º, 6.º, 7.º and 11.º, article 21.º, paragraph 2, and article 22.º;

iii) Code of the Complementary Tax - article 8.º, no. 1, p), q), s), t), u) and v), and article 86.º;

iv) Decree Law no. 46492 of 18th August, 1965, article 27.º;
insofar as they were in force on, and have not been modified since, the date of signature of this Convention or have been modified only in minor respects not affecting their general character;

b) Any other provision which may subsequently be made granting an exemption or reduction which is agreed by the competent authorities of the Contracting State to be of a substantially similar character, if it has not been modified thereafter or has been modified only in minor respects not affecting its general character;

the credit against Norwegian tax shall, notwithstanding the provisions of paragraph 3, be allowed in an amount equal to the Portuguese tax which would have been appropriate to the income concerned, as if no such exemption had been given or no such reduction had been allowed.

CHAPTER VI
Special provisions
ARTICLE 24
Non-discrimination
1. The nationals of a Contracting State shall not be subject in the other Contracting State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which nationals of that other State in the same circumstances are or may be subjected.

2. The term "nationals» means:
a) All individuals possessing the nationality of a Contracting State;
b) All legal persons, partnerships and associations deriving their status as such from the law in force in a Contracting State.

3. The taxation on:
a) A permanent establishment which an enterprise of a Contracting State has in the other Contracting State, or

b) A fixed base available for the purpose of performing professional services, which a resident of a Contracting State has in the other Contracting State;

shall not be less favourable levied in that other State than the taxation levied respectively on enterprises or residents of that other State carrying on the same activities or professional services.

In the taxation of immovable property which a resident of a Contracting State has in the other Contracting State and income which he derives therefrom, debts secured by mortgage and interest on such debts are deductible on the same conditions as provided under domestic law with respect to residents of that other State.

These provisions shall not be construed as obliging a Contracting State to grant to residents of the other Contracting State any personal allowances, reliefs and reductions for taxation purpose on account of civil status or family responsibilities which it grants to its own residents.

4. Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned Contracting State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of that first-mentioned State are or may be subjected.

5. The provisions of this article shall not be construed as obliging Norway to grant to nationals of Portugal the exceptional tax relief which is accorded to Norwegian nationals and persons born of parents having Norwegian nationality pursuant to Section 22 of the Norwegian Taxation Act for the Rural Districts and Section 17 of the Norwegian Taxation Act for the Urban Districts.

6. In this article the term "taxation» means taxes of every kind and discription.

ARTICLE 25
Mutual agreement procedure
1. Where a resident of a Contracting State considers that the actions of one or both of the Contracting States result or will result for him in taxation not in accordance with this Convention, he may, notwithstanding the remedies provided by the national laws of those States, present his case to the competent authority of the Contracting State of which he is a resident.

The claim has to be lodged within a period of two years from the date of notification of the tax giving rise to such claim or, in case of taxation in both States, of the tax ultimately imposed or in the case of withholding at source from the date of payment of the income subject to such withholding, even if this the second taxation.

2. The competent authority shall endeavour, if the objection appears to it to be justified and if is not itself able to arrive at an appropriate solution, to resolve the case by mutual agreement with the competent authority of the other Contracting State, with a view to the avoidance of taxation not in accordance with the Convention.

3. The competent authorities of the Contracting State shall endeavour to resolve by mutual agreement any difficulties or doubts arising as to the interpretation or application of the Convention. They may also consult together for the elimination of double taxation in cases not provided for in the Convention.

4. The competent authorities of the Contracting State may communicate with each other directly for the purpose of reaching an agreement in the sense of the preceding paragraphs. When it seems advisable in order to reach agreement to have an oral exchange of opinions, such exchange may take place through a Commission consisting of representatives of the competent authorities of the Contracting States.

ARTICLE 26
Exchange of information
1. The competent authorities of the Contracting State shall exchange such information as in necessary for the carrying out of this Convention and of the domestic law of the Contracting States concerning taxes covered by this Convention insofar as the taxation a thereunder is in accordance with this Convention. Any information so exchanged shall be treated as secret and shall not be disclosed to any persons or authorities other than those concerned with the assessment or collection of the taxes which are the subjects of the Convention.

2. In no case shall the provisions of paragraph 1 be construed so as to impose on one of the Contracting States the obligation:

a) To carry out administrative measures at variance with the laws or the administrative practice of that or of the other Contracting State;

b) To supply particulars which are not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State;

c) To supply information which would disclose any industrial, commercial or professional secret or process, or information, the disclosure of which would be contrary to public policy (ordre public).

ARTICLE 27
Diplomatic and consular officials
Nothing in this Convention shall affect the fiscal privileges of diplomatic or consular officials under the general rules of international law or under the provisions of special agreements.

Insofar as, die to fiscal privileges granted to diplomatic or consular officials under the general rules of international law or under the provisions of special international treaties, income or capital are not subject to tax in the receiving State, the right to tax shall be reserved to the sending State in accordance with the legislation of that State, irrespective of the provisions of this Convention.

ARTICLE 28
Territorial extension
1. This Convention may be extended, either in its entirety or with any necessary modifications, to any part of the territory of Norway or of Portugal, which is specifically or implicitly excluded from the application of the Convention in which taxes imposed are substantially similar in character to those to which the Convention applies. Any such extension shall take effect from such date and subject to such modifications and conditions, including conditions as to termination, as may be specified and agreed between the Contracting States in notes to be exchanged through diplomatic channels or in any other manner in accordance with their constitutional procedures.

2. Unless otherwise agreed by both Contracting States, the denunciation of the Convention by one of them under article 30 shall terminate, in the manner provided for in that article, the application of the Convention to any part of the territory of Norway or of Portugal to which it has been extended under this article.

CHAPTER VII
Final provisions
ARTICLE 29
Entry into force
1. This Convention shall be ratified and the instruments of ratification shall be exchanged at ... as soon as possible.

2. The Convention shall enter into force one month after the exchange of instruments or ratification and its provisions shall have effect for the first time:

a) In Portugal:
i) In respect to taxes withheld at source, the fact giving rise to them appearing on after the 1st January in the calendar year next following that in which the Convention enters into farce;

ii) In respect of other taxes on income arising in the calendar year next following that in which the Convention enters into force;

b) In Norway:
In respect of taxes on income or capital relating to the calendar year (including accounting periods closed in such year) next following that in which the Convention enters into force.

ARTICLE 30
Termination
This Convention shall remain in force until denounced by one of the Contracting States. Either Contracting State may denounce the Convention, through diplomatic channels, by giving notice of termination at least six months before the end of any calendar year after the year 1972. In such event, the Convention shall cease to have effect:

a) In Portugal:
i) In respect of taxes withheld at sources, the fact giving rise to them appearing on or after the 1st January in the calendar year next following that in which the notice is given;

ii) In respect of other taxes on income arising on or after the 1st January, in the calendar year next following that in which the notice is given;

b) In Norway:
In respect of taxes on income or capital relating to the calendar year (including accounting periods closed in such year) next following that in which the notice is given.

In witness whereof the Plenipotentiaries of the two States have signed the Convention and have affixed thereto their seals.

PROTOCOL
At the moment of signing the Convention for the avoidance of double taxation with respect to taxes on income and on capital, this day concluded between Portugal and Norway, the undersigned Plenipotentiaries have agreed that the following provisions shall form an integral part of the Convention:

I) Ad. articles 8, 13. and 22
1. Where an enterprise engaged in the operation of ships or aircraft in international traffic is carried on by one or more partners jointly and severally responsible and resident in a Contracting State and by one or more partners jointly and severally responsible and resident in the other Contracting State, and the competent authorities of both States agree that it is not feasible to determine that the place of the effective management of the enterprise is situated in one of the Contracting States only, profits as mentioned in paragraph 1 of article 8, gains as mentioned in paragraph 2 (second sentence) of article 13, and capital as mentioned in paragraph 3 of article 22 shall be taxable in proportion to the share which each of the partners jointly and severally responsible is holding, only in the Contracting State of which that partner is a resident.

2. The provisions of paragraph 1 of article 8, paragraph 2 (second sentence) of article 13, and paragraph 3 of article 22 shall be applied respectively to profits or capital gains derived, as well as capital owned, by the joint Norwegian, Danish and Swedish air transport organization Scandinavian Airlines System (S. A. S.), but only insofar as profits and gains so derived, or capital so owned by the Norwegian partner of the Scandinavian Airlines System (S. A. S.) in proportion to its share in that organization.

II) Ad. article 11
Revenue amount, as mentioned in paragraph 3 (last sentence) of article 11, are under Norwegian law deemed to be business income and may be taxed in Norway under the provisions of article 7 when derived by an enterprise which through a permanent establishment situated in that country carries, or formerly carried on, the particular industrial, commercial or business activity, as referred to.

III) Ad. article 15
1. Remuneration as mentioned in paragraph 2 of article 15 may be taxed in the Contracting State where the employment is exercised if the recipient of such remuneration is present in that State for a period or periods exceeding in the aggregate one hundred eighty three days in the calendar year concerned as from the outset of such period or periods.

2. Remuneration as mentioned in paragraph 3 of article 15 may be taxed in the Contracting State where the ship or aircraft is registered when derived in respect of an employment exercised aboard a ship or aircraft in international traffic operated by an enterprise which is carried on by one or more partners jointly and severally responsible and resident in a Contracting State and by one or more partners jointly and severally responsible and resident in the other Contracting State, and where it is not feasible to determine that the place of the effective management of the enterprise is situated in one of the Contracting States only.

3. Remuneration as mentioned in paragraph 3 of article 15 in respect of an employment exercised aboard an aircraft operated in international traffic by the Scandinavian Airlines System (S. A. S.) and derived by a resident of Norway shall be taxable only in that State.

In witness whereof the Plenipotentiaries of the two States have signed the Protocol and have affixed thereto their seals.
