Aprova o Acordo entre a República Portuguesa e a Universidade das Nações Unidas relativo à Criação, Funcionamento e Localização da Unidade Operacional de Governação Eletrónica Orientada para Políticas da Universidade das Nações Unidas em Guimarães, Portugal, assinado em Lisboa, em 23 de maio de 2014.

A Assembleia da República resolve, nos termos da alínea i) do artigo 161.º e do n.º 5 do artigo 166.º da Constituição, aprovar o Acordo entre a República Portuguesa e a Universidade das Nações Unidas relativo à Criação, Funcionamento e Localização da Unidade Operacional de Governação Eletrónica Orientada para Políticas da Universidade das Nações Unidas em Guimarães, Portugal, assinado em Lisboa, em 23 de maio de 2014, cujo texto, nas versões autenticadas, nas línguas portuguesa e inglesa, se publica em anexo.

ACORDO ENTRE A REPÚBLICA PORTUGUESA E A UNIVERSIDADE DAS NAÇÕES UNIDAS RELATIVO À CRIAÇÃO, FUNCIONAMENTO E LOCALIZAÇÃO DA UNIDADE OPERACIONAL DE GOVERNAÇÃO ELETRÓNICA ORIENTADA PARA POLÍTICAS DA UNIVERSIDADE DAS NAÇÕES UNIDAS EM GUIMARÃES, PORTUGAL.

Considerando que a Universidade das Nações Unidas (doravante designada por «UNU» ou «a Universidade») foi criada como um órgão subsidiário das Nações Unidas pela Resolução da Assembleia Geral das Nações Unidas n.º 2951 (XXVII) de 11 de dezembro de 1972;

Considerando que o Conselho da Universidade decidiu na sua 61.ª sessão em Roma, Itália, de 12-13 de maio de 2014, estabelecer a Unidade Operacional de Governação Eletrónica orientada para Políticas como um programa de investigação e formação da Universidade em Guimarães, Portugal;

Considerando que a Unidade Operacional de Governação Eletrónica orientada para Políticas é parte integrante da Universidade nos termos da sua Carta;

Considerando que a República Portuguesa e a Universidade concluíram um Acordo relativo à Unidade Operacional de Governação Eletrónica orientada para Políticas em 23 de maio de 2014 (doravante designado por «Acordo Sede»);

Considerando que a República Portuguesa e a Universidade desejam efetivar a criação, localização e funcionamento da Unidade Operacional de Governação Eletrónica orientada para Políticas (também a ser conhecida como «UNU-EGOV» e doravante designada por «a Unidade Operacional»);

A República Portuguesa e a Universidade das Nações Unidas (doravante designadas coletivamente como «as Partes»),

acordaram o seguinte:

Artigo 1.º

Objetivos e atividades

1 - O objetivo principal da Unidade Operacional é apoiar o sistema das Nações Unidas e os Estados membros das Nações Unidas na transformação dos mecanismos de governação e na capacitação eficaz de governação através de aplicações estratégicas de Tecnologias de Informação e Comunicação (doravante designadas por «TIC») para contribuir para o desenvolvimento social inclusivo, para o desenvolvimento económico inclusivo, para a sustentabilidade ambiental, para a paz e segurança.

2 - Especificamente, a Unidade Operacional:

a) Conduz investigação de políticas relevantes;

b) Converte os resultados da investigação em instrumentos de políticas relevantes;

c) Capacita a localização e aplicação de tais instrumentos dentro e entre governos, o sistema das Nações Unidas, organizações académicas e outras organizações relevantes;

d) Capacita e mantém redes de investigação e de política para partilhar aprendizagens, fomentar a aprendizagem mútua e criar pontes entre as áreas da investigação e da política; e

e) Monitoriza, avalia e dissemina os resultados e o impacto das suas atividades de investigação, desenvolvimento, capacitação e criação de redes.

3 - Nos termos do acima mencionado, a Unidade Operacional:

a) Conduz investigação multidisciplinar relacionada com a governação eletrónica e estudos orientados para políticas;

b) Assegura que as suas atividades de investigação, aconselhamento sobre políticas, capacitação, criação de redes, monitorização, avaliação e disseminação, são relevantes para as necessidades e prioridades atuais do sistema das Nações Unidas e dos Estados membros das Nações Unidas;

c) Promove a colaboração próxima com e entre governos, a sociedade civil, o setor privado, o sistema das Nações Unidas, organizações académicas e outras organizações relevantes;

d) Concede bolsas para investigação, desenvolvimento e formação avançada em governação eletrónica, incluindo, mas não limitado a, investigadores, funcionários da administração pública, responsáveis e decisores políticos, estrategas de tecnologia e líderes da comunidade;

e) Executa projetos específicos de governação eletrónica que envolvam investigação, desenvolvimento, formação e serviços de aconselhamento e consultadoria, podendo ser financiados por fundos nacionais ou internacionais;

f) Organiza conferências, workshops, aulas, reuniões de grupo de peritos, seminários, painéis e outros eventos relevantes;

g) Coopera no âmbito dos seus objetivos, com centros e programas de investigação e formação e atividades da Universidade; e

h) Realiza e executa todos os outros atos que possam ser considerados necessários, adequados e apropriados para o alcance de um ou de todos os seus objetivos.

Artigo 2.º

Localização e estatuto jurídico

A Unidade Operacional localiza-se na Universidade do Minho, Guimarães, Portugal. A Unidade Operacional tem, no território da República Portuguesa, o estatuto jurídico necessário para a realização dos seus objetivos e atividades nos termos do artigo 2.º do Acordo Sede.

Artigo 3.º

Contribuições

1 - A República Portuguesa disponibiliza e angaria financiamento essencial para a Unidade Operacional no valor de US$ 5 milhões de dólares, a serem pagos em prestações de US$ 1 milhão de dólares por ano durante o período 2014-2018. A contribuição operacional inicial no valor de 1 milhão de dólares americanos é paga à Universidade em ou antes de 30 de junho de 2014. Todas as contribuições operacionais subsequentes são pagas anualmente em ou antes de 1 de abril do respetivo ano ao longo do período de vigência do presente Acordo.

2 - A República Portuguesa diligencia no sentido de angariar 1 milhão de dólares americanos, num período de 5 anos, em contribuições de capital destinadas à Unidade Operacional, com o objetivo de assegurar a sua viabilidade a longo prazo. Tais contribuições de capital serão colocadas no Fundo de Capital da Universidade. Se tais contribuições de capital não se realizarem durante o período referido, a Unidade Operacional cessa o seu funcionamento.

3 - As contribuições operacionais e de capital para a Unidade Operacional são complementadas por contribuições em espécie realizadas pela Universidade do Minho, que compreendem as instalações, incluindo segurança, manutenção, equipamento e custos de funcionamento, pessoal, infraestruturas e alojamento para estudantes. O valor estimado para tais contribuições não deve corresponder a menos de US$ 500 mil dólares por ano.

4 - O financiamento de projetos para a Unidade Operacional inclui doações conseguidas junto de, inter alia, governos e instituições, instituições internacionais, organizações regionais, agências governamentais para o desenvolvimento, indústrias e fundações públicas ou privadas. A Unidade Operacional e a República Portuguesa cooperam para angariar tal rendimento adicional para complementar as quantias recebidas ao abrigo do presente Acordo e para apoiar o programa da Unidade Operacional.

5 - Se as contribuições referidas no presente artigo forem reduzidas ou ficarem indisponíveis por razões orçamentais, entende-se que tal redução ou indisponibilidade pode afetar a implementação das atividades da Unidade Operacional.

6 - Todas as contribuições para a Unidade Operacional serão geridas pela Universidade nos termos do Regulamento Financeiro, Regras e diretrizes administrativas das Nações Unidas, aplicáveis à Universidade.

7 - Sendo intenção das Partes assistir à transição da Unidade Operacional para um Instituto de pleno direito da UNU, entende-se que a contribuição operativa anual mínima a ser disponibilizada e angariada pela República Portuguesa não será menos do que US$ 2 milhões de dólares por ano. Para além disso, teria de ser paga uma contribuição de capital adicional de US$ 1 milhão de dólares ao Fundo de Capital da UNU afeta ao Instituto.

8 - No caso de a Unidade Operacional cessar o seu funcionamento, as contribuições de capital pagas ao Fundo de Capital da UNU e afetas ao Instituto são distribuídas por acordo mútuo entre as Partes.

Artigo 4.º

Elegibilidade para concorrer a fundos para investigação

A Unidade Operacional é elegível, em igualdade com outras universidades na República Portuguesa, para se candidatar a apoios proveniente de programas de financiamento para investigação.

Artigo 5.º

Instalações e espaços

1 - A República Portuguesa disponibilizará à Universidade, através da Universidade do Minho, instalações permanentes para ocupação e utilização pela Unidade Operacional, livres de encargos, no Campus de Couros da Universidade do Minho, a partir de 1 de junho de 2014, conforme descrito na tabela seguinte:

A dimensão das instalações é conforme à delineada no anexo 1 ao presente Acordo.

2 - A República Portuguesa, através da Universidade do Minho e a expensas desta, providencia o serviço de segurança, manutenção e despesas de funcionamento das instalações da Unidade Operacional. Providencia igualmente, do mesmo modo, todo o mobiliário, utensílios e equipamentos para as instalações e é responsável pela sua reparação e manutenção. Uma lista com os requisitos e objetos para equipar as instalações será acordada pelo Grupo de Trabalho constituído nos termos do artigo 12.º, n.º 2 infra.

3 - As questões relativas aos principais trabalhos de manutenção das instalações serão discutidas e acordadas pelo Grupo de Trabalho constituído nos termos do artigo 12.º, n.º 2 infra.

4 - Uma lista de pessoal, a disponibilizar pela Universidade do Minho à Unidade Operacional, bem como os termos e condições de alojamento para estudantes, igualmente disponibilizado pela mesma Universidade em conformidade com o artigo 3.º, n.º 3 supra, serão acordados pelo Grupo de Trabalho constituído nos termos do artigo 12.º, n.º 2 infra.

5 - O direito de ocupação e utilização das instalações é atribuído exclusivamente à Universidade enquanto a Unidade Operacional funcionar na República Portuguesa.

6 - A ocupação e utilização das instalações realiza-se em conformidade com as disposições do presente Acordo e do Acordo Sede.

7 - A Universidade não é responsável por qualquer perda ou dano de mobiliário, utensílios e equipamento, ou por danos pessoais de terceiros ou danos patrimoniais ocorridos nas instalações, mas a Universidade é responsável por danos que resultem de negligência grosseira ou dolo por parte do pessoal ou funcionários da Unidade Operacional.

8 - A Universidade toma medidas preventivas razoáveis para proteger a vida e património de terceiros que utilizem as instalações.

Artigo 6.º

Proteção de direitos de propriedade intelectual

A proteção dos direitos de propriedade intelectual será assegurada nos termos dos acordos internacionais que vinculem a República Portuguesa.

Artigo 7.º

Inspeção

1 - Uma inspeção e avaliação independentes do trabalho da Unidade Operacional será realizada pelo Reitor a cada três anos. A primeira inspeção terá lugar três anos após o início das atividades da Unidade Operacional.

2 - Os resultados dessa inspeção e avaliação serão submetidos pelo Reitor ao Conselho da Universidade para apreciação e tomada de ações adequadas.

3 - Uma cópia do relatório de inspeção e avaliação será disponibilizada à República Portuguesa num prazo de três meses a partir da data da sua finalização.

4 - A República Portuguesa poderá apresentar os seus comentários sobre o relatório ao Conselho da Universidade e o Conselho tomará tais comentários em consideração aquando da sua apreciação desse relatório.

Artigo 8.º

Notificação

1 - Todas as notificações e comunicações à República Portuguesa relativas ao presente Acordo serão dirigidas ao Ministério dos Negócios Estrangeiros da República Portuguesa.

2 - Todas as notificações e comunicações à Universidade relativas ao presente Acordo serão dirigidas à Universidade das Nações Unidas, Tóquio, Japão.

Artigo 9.º

Alterações

1 - Qualquer Parte pode solicitar por escrito à outra Parte uma revisão, alteração ou modificação de todo ou de qualquer parte do presente Acordo. Qualquer revisão, alteração ou modificação é acordada mutuamente pelas Partes e será estabelecida por escrito e será parte do presente Acordo. Tal revisão, alteração ou modificação entrará em vigor na data determinada pelas Partes.

2 - Qualquer revisão, alteração ou modificação será feita sem prejuízo dos direitos e obrigações provenientes ou baseados no presente Acordo antes ou até à entrada em vigor de tal revisão, alteração ou modificação.

Artigo 10.º

Solução de diferendos

Qualquer divergência ou diferendo entre as Partes resultante da interpretação ou implementação do presente Acordo será resolvida nos termos do artigo 17.º do Acordo Sede.

Artigo 11.º

Acordos suplementares

A República Portuguesa e a Universidade podem concluir tantos acordos suplementares quanto se mostre necessário.

Artigo 12.º

Disposições gerais

1 - O presente Acordo será interpretado em conjunto com o Acordo Sede e nenhum deles terá o efeito de limitar as disposições do outro.

2 - Será constituído um Grupo de Trabalho em Guimarães para facilitar a criação da Unidade Operacional que iniciará as suas funções em data a acordar pelas Partes.

3 - As disposições do presente Acordo não prejudicam os regulamentos, regras e diretrizes das Nações Unidas aplicáveis à Universidade.

Artigo 13.º

Entrada em vigor, vigência e cessação

1 - O presente Acordo e quaisquer alterações a este entrarão em vigor quando as Partes se tenham notificado mutuamente, por troca de notas, de que foram cumpridos os respetivos procedimentos formais. Sem prejuízo da produção retroativa de efeitos à data da sua assinatura, o presente Acordo executa-se através da prática dos atos materiais necessários a partir daquela data.

2 - O presente Acordo cessará a sua vigência:

a) Por mútuo consentimento da República Portuguesa e da Universidade por escrito no qual se estabelece a data efetiva da cessação de vigência; ou

b) Se o mandato para a criação da Unidade Operacional cessar ou se a Unidade Operacional for retirada do território da República Portuguesa no entendimento de que as disposições relevantes relacionadas com um término ordenado das operações da Unidade Operacional e com a alienação do seu património na República Portuguesa serão aplicáveis enquanto necessário.

3 - A cessação da vigência do presente Acordo não afetará a implementação de quaisquer atividades ou programas em curso que tenham sido acordados antes da data de denúncia do presente Acordo.

Em fé do que, os representantes, devidamente autorizados para o efeito, assinaram o presente Acordo, em duplicado, em língua portuguesa e inglesa, fazendo ambos os textos igualmente fé, em Lisboa, Portugal, a 23 de maio de 2014.

AGREEMENT BETWEEN THE UNITED NATIONS UNIVERSITY AND THE PORTUGUESE REPUBLIC ON THE ESTABLISHMENT, OPERATION AND LOCATION OF THE UNITED NATIONS UNIVERSITY OPERATING UNIT ON POLICY-DRIVEN ELECTRONIC GOVERNANCE IN GUIMARÃES, PORTUGAL.

Whereas the United Nations University (hereinafter referred to as «UNU» or «the University») was established as a subsidiary organ of the United Nations by General Assembly resolution 2951 (XXVII) of 11 December 1972;

Whereas the Council of the University decided at its 61st session in Rome, Italy on 12-13 May 2014 to establish the United Nations University Operating Unit on Policy-Driven Electronic Governance as a research and training programme of the University, in Guimarães, Portugal;

Whereas the Operating Unit on Policy-Driven Electronic Governance is an integral part of the University in accordance with its Charter;

Whereas the University and the Portuguese Republic have concluded an Agreement concerning the Operating Unit on Policy-Driven Electronic Governance on 23 May 2014 (hereinafter referred to as the «Host Country Agreement»);

Whereas the University and the Portuguese Republic desire to give effect to the establishment, location and operation of the Operating Unit on Policy-Driven Electronic Governance (also to be known as «UNU-EGOV» and hereinafter referred to as «the Operating Unit»);

The United Nations University and the Portuguese Republic (hereinafter referred to collectively as «the Parties»),

have agreed as follows:

Article 1

Purposes and activities

1 - The central purpose of the Operating Unit shall be to support the United Nations system and member states of the United Nations in transforming the mechanisms of governance and building effective governance capabilities through strategic applications of Information and Communication Technologies (hereinafter referred to as «ICT») to contribute to inclusive social development, inclusive economic development, environmental sustainability, and peace and security.

2 - Specifically, the Operating Unit shall:

a) Carry out policy-relevant research;

b) Translate research findings into relevant policy instruments;

c) Build capacity in localizing and applying such instruments within and among governments, the United Nations system, academic and other relevant organizations;

d) Build and maintain research and policy networks to share the lessons learnt, foster mutual learning, and bridge research and policy worlds; and

e) Monitor, evaluate and disseminate the outcomes and impact of its research, development, capacity-building and network-building activities.

3 - Pursuant to the foregoing, the Operating Unit shall:

a) Conduct electronic governance-related multi-disciplinary research and policy-oriented studies;

b) Ensure that its research, policy advice, capacity building, network building, monitoring, evaluation and dissemination activities are relevant to the current needs and priorities facing the United Nations system and member states of the United Nations;

c) Promote close collaboration with and among governments, civil society, private sector, the United Nations system, academic and other relevant organizations;

d) Award fellowships for research, development and advanced training in electronic governance, including but not limited to researchers, government officials, policy and decision makers, technology strategists and community leaders;

e) Carry out specific electronic governance projects involving research, development, training and advisory and consultancy services, as may be financed by national or international funding sources;

f) Organize conferences, workshops, schools, expert group meetings, seminars, panels and other relevant events;

g) Co-operate within the framework of its purposes, with the research and training centres and programmes, and activities of the University; and

h) Do and perform all other acts that may be considered necessary, suitable and proper for the attainment of any or all of its purposes.

Article 2

Location and legal status

The Operating Unit shall be located at the University of Minho, Guimarães, Portugal. The Operating Unit shall have, within the territory of the Portuguese Republic, the legal status necessary for the realization of its purposes and activities, pursuant to Article 2 of the Host Country Agreement.

Article 3

Contributions

1 - The Portuguese Republic shall make available and raise core funding for the Operating Unit of US$5.0 million, to be paid in instalments of US$1.0 million per annum during the period 2014-2018. The initial operating contribution in the sum of US$1.0 million shall be paid to the University on or before 30(th) June 2014. All subsequent operating contributions shall be paid annually on or before 1st April of the respective year throughout the period of validity of this Agreement.

2 - The Portuguese Republic shall endeavour to raise US$1.0 million, within a period of five years, in capital contributions earmarked for the Operating Unit which is meant to ensure its long-term viability. The said capital contributions shall be placed in the University's Endowment Fund. If the said capital contributions are not realized during the said period, the Operating Unit shall cease to operate.

3 - The operating and capital contributions for the Operating Unit shall be complemented by in-kind contributions provided by the University of Minho comprising premises, including security, maintenance, equipment and running costs, personnel, infrastructure and accommodation for students. The estimated value of such contributions shall not be less than US$500,000 per year.

4 - Project funding for the Operating Unit shall include grants raised from, inter alia, governments and institutions, international institutions, regional organizations, government development agencies, industries and public or private foundations. The Operating Unit and the Portuguese Republic shall cooperate in raising such additional income to supplement amounts received under this Agreement and to support the programme of the Operating Unit.

5 - If the contributions referred to in this Article are reduced or unavailable for budgetary reasons, it is understood that such reduction or unavailability may affect the implementation of the activities of the Operating Unit.

6 - All contributions to the Operating Unit shall be administered by the University in accordance with the Financial Regulations and Rules, and administrative issuances of the United Nations, applicable to the University.

7 - As it is the intention of the Parties to see the transition of the Operating Unit into a fully-fledged UNU institute, it is understood that the required minimum annual operating contribution to be made available and raised by the Portuguese Republic shall be no less than US$2.0 million per annum. In addition, a further capital contribution of US$1.0 million would be required to be paid into the UNU Endowment Fund earmarked for the Institute.

8 - In the event that the Operating Unit ceases to operate, the capital contributions paid into the UNU Endowment Fund and earmarked for the Institute shall be disposed of by mutual agreement between the Parties.

Article 4

Eligibility to compete for research funding

The Operating Unit shall be eligible, as with other universities in the Portuguese Republic, to apply for support from competitive research funding programmes.

Article 5

Premises and facilities

1 - The Portuguese Republic shall, through the University of Minho, make available to the University permanent premises for the occupation and use of the Operating Unit free of charge on the Campus de Couros of the University of Minho, as of 1 June 2014, as described in the following table:

The extent of the premises shall be as delineated in annex 1 hereto.

2 - The Portuguese Republic, shall through the University of Minho, and at its expense, provide for the security service, maintenance and running costs of the premises of the Operating Unit. It shall also provide, in the same manner, all moveable furnishings, fitting and equipment for the premises and shall be responsible for their repair and maintenance. A list of the requirements and items corresponding to the equipping of the premises shall be agreed upon by the Working Group set up in accordance with Article 12, paragraph 2 below.

3 - Matters related to the major maintenance of the premises shall be discussed and agreed upon by the Working Group set up in accordance with Article 12, paragraph 2 below.

4 - A list of the personnel to be provided by the University of Minho to the Operating Unit, as well as the terms and conditions of the accommodation for students to be also provided by the same University according to Article 3, paragraph 3 above, shall be agreed upon by the Working Group set up in accordance with article 12, paragraph 2 below.

5 - The right of occupation and use of the premises shall vest exclusively in the University for as long as the Operating Unit continues its operations in the Portuguese Republic.

6 - The occupation and use of the premises shall be in accordance with the provisions of this Agreement and the Host Country Agreement.

7 - The University shall not be liable for any loss or damage to the furnishings, fittings and equipment, or for personal injuries to third parties or property damage occurring to the facilities except that the University shall be liable for injury or damage resulting from gross negligence or wilful misconduct by the personnel or officials of the Operating Unit.

8 - The University shall take reasonable preventive measures to protect the life and property of third parties using the premises.

Article 6

Protection of intellectual property rights

The protection of intellectual property rights shall be consistent with international agreements binding on the Portuguese Republic.

Article 7

Review

1 - An independent review and evaluation of the work of the Operating Unit shall be undertaken by the Rector every three years. The first review shall take place three years from the commencement of activities of the Operating Unit.

2 - The results of such review and evaluation shall be submitted by the Rector to the Council of the University for consideration and appropriate action.

3 - A copy of the review and evaluation report shall be made available to the Portuguese Republic within three months from the date of its completion.

4 - The Portuguese Republic may submit its comments on the report to the Council of the University and the Council shall take such comments into account in its consideration of the report.

Article 8

Notice

1 - All notices and communications to the Portuguese Republic concerning this Agreement shall be addressed to the Ministry for Foreign Affairs of the Portuguese Republic.

2 - All notices and communications to the University concerning this Agreement shall be addressed to the United Nations University, Tokyo, Japan.

Article 9

Amendment

1 - Either Party may request in writing to the other Party a revision, amendment or modification of all or any part of this Agreement. Any revision, amendment or modification shall be mutually agreed upon by the Parties and shall be set forth in writing and shall form part of this Agreement. Such revision, amendment or modification shall enter into force on such date as may be determined by the Parties.

2 - Any revision, amendment or modification shall be without prejudice to the rights and obligations arising from or based on this Agreement before or up to the entry into force of such revision, amendment or modification.

Article 10

Settlement of disputes

Any differences or disputes between the Parties arising out of the interpretation or implementation of this Agreement shall be settled in accordance with Article 17 of the Host Country Agreement.

Article 11

Supplemental agreements

The Portuguese Republic and the University may enter into such supplemental agreements as may be necessary.

Article 12

General provisions

1 - This Agreement shall be read together with the Host Country Agreement and neither shall have the effect of limiting the provisions of the other.

2 - A Working Group will be set up in Guimarães to facilitate the establishment of the Operating Unit and will commence work on a date to be agreed upon by the Parties.

3 - This Agreement shall be without prejudice to the United Nations regulations, rules and directives applicable to the University.

Article 13

Entry into force, duration and termination

1 - This Agreement and any amendments thereto, shall enter into force when the Parties have notified each other by exchange of letters that the respective formal procedures have been completed. Notwithstanding the retroactivity of the Agreement to the date of its signature, the Agreement shall be implemented through the adoption of the necessary acts as of the said date.

2 - This Agreement shall cease to be in force:

a) By mutual consent of the Portuguese Republic and the University in writing which shall state the effective date of termination; or

b) If the mandate for the creation of the Operating Unit is terminated or if it is removed from the territory of the Portuguese Republic, on the understanding that the relevant provisions in connection with the orderly termination of the operations of the Operating Unit in the Portuguese Republic and the disposal of its property therein shall remain applicable as long as necessary.

3 - The termination of this Agreement shall not affect the implementation of any ongoing activities or programmes, which have been agreed upon before the date of termination of this Agreement.

In witness whereof, the representatives, being duly authorized thereto, have signed this Agreement, in duplicate in the English and Portuguese languages, both texts being equally authentic, in Lisbon, Portugal on 23 May 2014.
